Id bet this is a related party transaction at some level. Recall the NAUT owners bought these floating piles of rust off their own companies in the first place

Rather mysterious - shares could as well be 10p. Or 20p. Or 30p. Etcetera. The major concern here has been whether the controlling shareholders were only there to milk other shareholders - but why should they then convert at 50p ?

NOTICE OF CONVERSION OF CONVERTIBLE LOAN NOTE

Nautilus Marine Services PLC (AIM: NAUT), announces that on 10 January 2019, the Company received notice from McLarty Capital Partners ("McLarty") to convert the US$7,640,000 Convertible A Loan Notes (as defined and described in the Company's AIM Admission Document published on 16 January 2017) into 12,524,590 ordinary shares in the capital of the Company ("Ordinary Shares") at a price of 50 pence per Ordinary Share at a fixed exchange rate of GBP1/US$1.22 (the "Conversion").

Value Hound, this company is not being run for the benefit of the shareholders. If it was, it would have been liquidated two years ago and the cash returned to shareholders. The annual running costs of the company are simply ridiculous. I wouldn't touch this company with the longest bargepole in the universe.

Seriously though; what's the story here; NTAV of over £17.8m, current assets less all libs of £1.5m, mkt cap £2.44m - so are these vessels truly worth less than nothing (effectively being priced as liabilities) and are the Board truly just crooks or stooges acting for the Quasha family trusts?

What would be the legal basis for a.challenge? Long time since i studied company law....are the actions unfairly prejudicial against minority shareholders? I dont know and this would be a matter for a lawyer. Who knows, the board strategy may come good.
