Looks like I am indeed factually incorrect, at least according to the Guardian who say the positive majority requirement referred to the number of shareholders not the number of shares which I find odd. I'm still disgruntled.

Hi Nerlinger,

You are factually incorrect. Morrisons needed over 75% support for the deal to go through. As expected it achieved this without any problem. Just .77% of the total votes were against the deal. It is very wrong to assume that those who did not vote were opposed to it.

Is there a delay? All I know is that the vote is today sometime. If there is a delay it might be because they haven't had enough votes for a positive majority and they are trying to encourage more holders to vote For. My fingers are still crossed for Against anyway.

Hi Nerdlinger,

I do understand your sentiments, but I concluded the best outcome - to bring certainty to customers, shareholders, and staff, was to support the bid and I voted to accept the offer.

To be honest I think neither of our votes will make a jot of difference. According to the most recent annual accounts (Jan 31st 2021) just 210 shareholders control 89.51% of the company. The 33,077 private shareholders like you and me own just 3.63%. These figures will have changed a bit, but I doubt anything like enough to have an impact on the result.

I am sure many of the larger shareholders have already privately indicated they will support the bid and some will doubtless go on to snap up some of Morrisons freeholds, in future sale and leaseback agreements. For them a win, win!

I see this as a done deal, waiting for the rubber stamp vote, and I am now keen to reallocate the investment proceeds.

Restated my instruction to vote against to my broker via their webchat... I don't think they were just fobbing me off, got a reference number for it...

The voting procedure detailed at looks a bit complicated. You'd think they'd make it easier considering they need a positive majority as well as 75% of votes.

Fingers crossed that I'll still be a shareholder next week with a new stand-in BOD recruiting a more permanent BOD and a share price that isn't too awful.

I will restate my intruction to vote against to my broker (iweb, using their chat facility) next week if there are no further developments. So far Columbia Threadneedle and M&G have publicly backed the deal according to the Mail ( ) but I've heard nothing from Silchester who might yet encourage CD&R to increase their bid again.

It may be worth CDR mopping up shares in the market if they can get them below the bid price and if they have arranged matters to avoid stamp duty (tricky but sometimes possible). Otherwise difficult to see why to buy.

CD&R has said it still reserves the right to increase the amount of the offer price if a third party announces a firm intention to make an offer for Morrisons on or after the date of this announcement.

Back to Morrisons, is it a foregone conclusion that shareholders will accept the bid? It seems an awful pity that such a good company - and one differentiated from other supermarket chains by its vertically-integrated supply chain where it produces much of the food it sells - should go the way of PE and no doubt end up loaded with debt.

Brewer/Pubco Marstons (MARS) might fit the bill. Extremely stuck-in-the-mud management has seen this go nowhere for years. Saw off a tentative bid at £2 last year and now trading at 84p. High debt but stuffed with freehold assets and has recently done a deal to sell half the brewing company to Carlsberg at an attractive price. Of course, its trading was knackered by the Covid lockdown and I doubt that this management are the ones to make it motor now the pubs are open again, but the assets will be the attraction. Many of the big pubco's have been taken over recently (Ei Group - formerly Enterprise Inns - Greene King etc) and this must be on someone's radar.
