This not a case of TETE just buying SA, but a merger of the two. Plus parts of MBO too. As TETE is effectively a cash rich Shell company it could be seen as a reverse takeover of sorts. This is split into 2 -$235m paid at Closing$865m paid based on earn-outs over the next full 12-months The overall target is to generate $87m each quarter to get 21.625m shares. If they over-earn, the quantity goes up as a ratio of (Achieved/Target) x 21.625m shares. I’m afraid the whole still strikes me as “fishy” but I’m open minded and cognisant that I could be wrong. If people have researched VERTU capital, Kiat Wai Du (Aka William Du) & TETE and can offer some evidence as to why the 2016 blog (that I found last night) is nonsense then I’m all ears. Interestingly, Vidacos nominees were shareholders at Zavarco PLC (aka Vasseti) which is another PLC linked to Du. I’m trying to work out what went on there but search for Robert Ross investigates & VERTU and there seems a fair bit to get your teeth into. The bottom line seems to be Malaysian businesses linked to a Director of TETE where shareholders were left high & dry. If people want to down vote and tell me I’m bad for pointing it out then that’s fine. The stuff he’s found is hardly damning, even for TETE, never mind MBO, where there is no read across as far as I’m concerned.
