Lloydypool if you really are interested (which i don't think you are) you can find all the answers in the TETE SEC Filings documents. This not a case of TETE just buying SA, but a merger of the two. Plus parts of MBO too. As TETE is effectively a cash rich Shell company it could be seen as a reverse takeover of sorts. Suffice to say MBO shareholders stand to be the biggest winners here imo.

Any thoughts as to why a SPAC that has unaudited cash assets of around $100m is paying $235m initially for a dormant company in Malaysia that there seems to be no record of existing?

The address listed for said company (Super Apps) is for a separate company (which I guess makes sense as a dormant company wouldn't have an office).

Just looking at the SPAC deal. TETE acquire all shares of Super Apps, equal to $1.1bn. This is split into 2 -$235m paid at Closing$865m paid based on earn-outs over the next full 12-months The overall target is to generate $87m each quarter to get 21.625m shares. If they over-earn, the quantity goes up as a ratio of (Achieved/Target) x 21.625m shares. This target that MBO have to hit is approx $30m/quarter, so there is an incentive for all parties to achieve that revenue target.It really does have the capacity to be huge

Oaktree Capital Management LP - 164 billion USD Assets Under Management (AUM) - holds 3.02% of TETE.
Polar Asset Management Partners Inc - $5.7 billion Assets Under Management (AUM) - holds 3.56% of TETE.
Millennium Management LLC - AUM: US$ 57.5 billion - holds 3.59% of TETE.
Glazer Capital LLC - 4billion AUM - holds 5.86% of TETE.

Mate, Tete is a SPAC., similar to a cash shell, which will facilitate the listing of the newly formed venture / project onto the Nasdaq. It's no different to an RTO into a cash shell on LSE. The value comes from the future business. So go research Angkasa and others collaborating

Someuwin - I acknowledge the point about the payment system & that the research I was doing last night was probably slightly biased towards finding a problem rather than looking for reasons why this could work out. I’m afraid the whole still strikes me as “fishy” but I’m open minded and cognisant that I could be wrong.

If people have researched VERTU capital, Kiat Wai Du (Aka William Du) & TETE and can offer some evidence as to why the 2016 blog (that I found last night) is nonsense then I’m all ears.

Interestingly, Vidacos nominees were shareholders at Zavarco PLC (aka Vasseti) which is another PLC linked to Du. I’m trying to work out what went on there but search for Robert Ross investigates & VERTU and there seems a fair bit to get your teeth into.

The bottom line seems to be Malaysian businesses linked to a Director of TETE where shareholders were left high & dry. If people want to down vote and tell me I’m bad for pointing it out then that’s fine. I’ll just wish you good luck as there is certainly the potential for short term gains here but I expect it will end in long term tears.

LLoydpool, in post #3251 yesterday, you expressed disbelief that anyone would pay £11m+ for a JV with MBO's 1Shop. Multiple posts since have pointed out that the value of 1Shop is the access to MBO's payment infrastructure of 10million accounts. You ignore the replies and come in with another bashing angle. This suggests to me that you have no interest in understanding the deal but are instead just trying to unnerve investors.

Our deal gets proved real easy… or not.
Either we get the money upfront (and presumably prove the deal) or we don’t.
The stuff he’s found is hardly damning, even for TETE, never mind MBO, where there is no read across as far as I’m concerned.
I’m confident the deal will complete and we’ll move onto the far more exciting bit of where SuperApps try to create something new, huge, and whilst not perhaps not too exciting, it should at least prove very profitable for MBO.

Incidentally I don’t believe all this buying is either UK based, or just average PI’s.

It’s a message board for a company that I’ve taken an interest in and posted positive & negative comments on for a while.
