The written proposal was no doubt conditional on the third paper being able to undertake due diligence. Are you seriously suggesting that a take-over could be agreed that would require existing shareholders to hand back some money if profit performances were not met in the future? New one on me. 08/5/2008 14:46 | Well that makes the management a big bunch of fools then or a greedy bunch of fools. 40p a share is just laughable. It does make you wonder at a true value for Cyh based on that. It must be atleast triple MPS given the rate of growth at Cyh and the vastly superior product range. It will be interesting to know what is conditional about the offer ie future performance related. Approach for the Company The Board recently received a written conditional proposal from a third party outlining a possible cash offer at 40p per share. The Board, having consulted with its advisers and several institutional shareholders, believes that this materially undervalues the Company's leading position in the telematics market, its strategic position and its prospects and, consequently, declined the conditional proposal. There can be no guarantee that an offer will materialise nor as to the terms on which any offer will be made. 08/5/2008 14:10 | CM As you and I both know the UK is booming now for Telematics sales with Cybit securing 1.2 million a month in new contracts over the first three of four months of this year. Both companies perform stronger in the second half of their year but MPS are spread far to thinly around the globe with no resources available to develop any of their markets. They need to grow turnover period on period but they are currently still in decline. They are at the top of a stall cycle. Every management (even EIT) say they are market leaders but how can MPS be when their technology is still so far behind and their deployed unit numbers are decreasing. The post from Davidosh suggets 50p+ as a level for a bidder. I suggest that the original approach was sub 20p and any further bid will not be more than 10% up on that. Clearly it will not suceed until the share price drops back as it surely will. | lucky punter | |

07/5/2008 20:55 | I suspect the results will be slightly later than last year as these are the first under IFRS regs so along with most I expect MPS to be taking a little longer with the audit etc. As for tissues Efc123 I just hope we do not need them after the weekend games and that we can stay one spot ahead of Villa...a draw will do ! I can cope with whatever happens here at MPS and the bid possibility provides the end of season excitement rather like the play offs ! | davidosh | |

The Company also developed a number of value added resellers in both the UK and overseas markets during the year, with a notable contract signed with Omnix International LLC for distribution in the Middle East and North Africa, i would like to see an update on news there .
