monty the effect of the consolidation should be to leave the share price at about the same price.

Don't forget that tomorrow also there will be 222+ million ADSs issued to the HPE Software shareholders in New York. Nobody can predict what will happen over there.

From the prospectus
"The Merger Agreement provides that HPE Shareholders will receive ADSs representing 50.1 per cent. of the fully diluted share capital of the Company immediately following the Merger and, therefore, for purposes of the Unaudited Pro Forma Financial Information, it is assumed that HPE Shareholders will receive 222.06 million ADSs representing the Ordinary Shares to be issued by the Company. Based on an assumed price of an Ordinary Share of $29.26, this results in an aggregate Equity Consideration valued at $6,498 million".

I'm I right tomorrow Micro Focus will be -£1.68p per share lower tomorrow. So say we close at 2250p -£1.68p then open around say £20.82p but we get the £1.68 around 15th September, is that right?

My read;
Theoretically, for UK taxpayers, there's no difference; why would there be an arbitrage?
(Or as monty says, US funds continue to sell down. Then you can guess the price they sell down to).
Non-UK taxpayers who don't want to pay income tax, possibly yes.

monty you will get £1680.29 plus £6.83 for the fractional 0.3 shares which result from the consolidation.

So, £1687.12 on 15 September.

Micro Focus' American Depositary Shares begin trading
on the New York Stock Exchange 1 September for any US buyers to invest.

I looked at the HPE website and could not see any mention of this matter at all.

Yep, we get, for 1,000 existing shares today:
Cash: £1,680.2895

And by 08.00 on 1st September we will have:
926.303087067064 New Shares theoretically (rounded depending on how many shares you have now).

We should receive our cash by 15 September 2017.

That's correct monty. US Fund managers that have a remit to hold US quoted stock will have, or be, selling stock.

Ringer, this is new reporting cycle:- January 2018 is the next "news"

"OUTLOOK
Following completion of the acquisition of HPE Software, the Group will change its financial year end to 31 October and will report an 18 month financial period ending 31 October 2018. Assuming the transaction remains on schedule, the first six months will comprise six months of the current Micro Focus business and two months of the HPE Software business. There will then be a full 12 months trading of both businesses.

We anticipate revenues for the current Micro Focus Group business for the six months to 31 October 2017 will be broadly flat on the comparative period. In anticipation of the impending integration of the Micro Focus and HPE Software businesses in November we have put on hold any operational changes in the existing Micro Focus business. We will provide guidance for the combined 12 month period to 31 October 2018 when we report in January 2018 on the Group's performance in the six months ending 31 October 2017."

I can see why the hedgies went short, they are relying on the US fund managers who can't hold UK listed shares selling 1st Sept perhaps?. Called flowback.

Now that we will have less shares and offset by some cash do we have to wait for the new financial year end report to find out how the merger is progressing.

We seem to be waiting forever for some real favourable news.

Yes, don't get me wrong I like Micro, just think this market look due for correction, everything gets hit. Specially big liquid stocks, GSK, Micro Focus, etc.

I'm waiting to buy after the consolidation in two days time, I feel with this market correction coming in the FTSE 100, the good, bad and ugly all get hit together, 1975p my buy target. We had our 45.22p dividend.

That make sense So there will still be an HPE software division which obviously is a rather large operation.
