25/10/2012 08:07 | Yes usually tender offers pay out after two weeks of cancelation but this one is more difficult given third parties,foreign country tax laws and currency exchage etc. Could be worse zangdook the market could have turned sour atleast we may a healthy profit here. Now on the 25th The Company today announces that the Tender Offer has been completed and is declared unconditional in all respects But we have until the 1st of Nov to get the tax forms in...still no clear word of when the money will come. Presumably it'll be "a few days" after 1 Nov, ie late Nov/early Dec. I wish I'd never bought back in now. I was just trying to increase my spare cash a little before I invested it in stocks which have now gone up rather more than the gain I expect here. | zangdook | |

All it says for the rest of us is that payment through CREST will be "prompt": settlement of the cash consideration will be effected by the dispatch of cheques or payment through CREST promptly after the Offer becomes or is declared unconditional in all respects. For certificated shareholders, the cash consideration to which an accepting Metal-Tech Shareholder is entitled will be dispatched by first class post. All such cash payments will be made in US Dollars by cheque drawn on a branch of a UK clearing bank within 15 business days after the Offer becoming unconditional in all respects. | zangdook | |

12/10/2012 12:14 | The cancellation of admission of Metal-Tech's AIM Securities will become effective at 7.00 am (UK time) on 15 October 2012. Some people selling at 18p yesterday. Odd. I wonder if you can still buy - the quoted offer is 27p. Unfortunately Hargreaves Pantsdown tend to stop allowing their clients to deal in shares which have announced an intention to delist. ("Metal-Tech" or "the Company") Update on Tender Offer for all issued and outstanding share capital of Metal-Tech Metal-Tech, the producer and recycler of specialty metals such as tungsten and molybdenum, provides the following update to the announcement of 28 September, 2012. On 3 September, 2012 Metal-Tech announced that Hillah Consultants Ltd. Inc. ("Hillah Consultants") had commenced a Cash Tender Offer to acquire all of the Company's issued and outstanding share capital not already held by Hillah Consultants and its sole shareholder, Mr. Ariel Rosenberg (excluding certain ordinary shares to be purchased by Mr. Rosenberg from a shareholder of the Company following consummation of the Tender Offer or alternatively following the adoption by the Company's shareholders of a resolution for the cancellation of the admission of the Company's shares from trading on AIM), totalling 4,148,045 ordinary shares of the Company and representing approximately 10.8 percent of the issued and outstanding share capital of the Company (disregarding 99,405 ordinary shares that were issued subsequently as a result of the exercise of options as noted below). On 28 September 2012, Metal-Tech announced that Hillah Consultants informed it that the expiry date for the Tender Offer was extended from 28 September 2012 to 4 October 2012 at 17.00hrs BST. The Company announces that Hillah Consultants has advised it that, as at 17.00hrs on 4 October 2012, Hillah Consultants has received valid acceptances with respect to 4,036,845 out of the 4,247,450 ordinary shares subject to the Tender Offer (both of which numbers include 99,405 ordinary shares issued as a result of the exercise of options following commencement of the Tender Offer). The foregoing 4,247,450 ordinary shares represent 11 percent of the Company's issued and outstanding share capital. Following the expiration of the Tender Offer, Hillah Consultants and Mr. Rosenberg will control an aggregate of 99.45 percent of the issued and outstanding share capital of the Company (including the shares to be purchased by Mr. Rosenberg as noted above), which exceeds the necessary threshold of the issued and outstanding share capital of Metal-Tech required to acquire all the issued and outstanding ordinary shares of the Company, including those owned by non-tendering shareholders. As a result, the Tender Offer is binding with respect to all Metal-Tech shareholders, irrespective of whether or not they tendered their ordinary shares in the Tender Offer. 28/9/2012 15:37 | Pomp, I hope you have checked this properly cos that's not my understanding of it - it's an *Israeli* tax form, they will tax you 30% on the tender price unless you have completed the tax form correctly (there's nothing UK-specific about the form, you have to complete country of residence and all sorts of details unless you are Israeli). Also, the forms are mandatory for Depository Interest holders, which I'm told by the brokers is how MTT shares are held in nominee accounts. This info straight from 2 different brokers who forwarded details from the nomads/custodians. | luckyjonah | |
