In an (insolvent) liquidation, the shareholders by definition get nothing, because the assets are insufficient to cover the liabilities. But liquidation is only way that administration can end. There could instead be outside investment. Outside investment itself can take many forms (eg lending fresh capital; guaranteeing liabilities; buying out the company, etc.). Surely at least in the very last example (buying out the company) the shareholders (as the selling owners) will get something? And surely also the sale would only go through if accepted by a given proportion [the majority?] of the shareholders, perhaps pursuant to a Scheme of Arrangement? And surely also the price would have to be somewhat-reasonable under the circumstances in order for such given proportion to accept the sale? Or is the role ordinarily played by shareholders in such matters somehow diminished due to the fact that certain powers have been granted to administrators?
