Citing a previous sensitivity analysis, Peel Hunt this week warned that a 20 per cent fall in asset values is likely to result in a 30 to 40 per cent impact on wealth managers’ profitability this year. As such, the buyback looks well-timed, though we’ll use the cover to exit with the shares just ahead of our tip (132p, 4 Jun 2019). Hold.

Has been no institutional large s/holders sells, as yet - seems to be holding up pretty damn well - compared to MTW who are in the same business - quite amazing considering the markets.

Its a nice position to get a serious lift in the share price from, when they make their next acquisition , they have stated they have a pipeline of deals , share price should keep rising as we crunch through them and build the company .

37,500 pounds of shares bought in 2 trades in last 2-3 days

in a share with miniscule free float in small Private Investor hands
& after the share price has doubled on low volume

I think us little fish can stand back and wait for the news

imo some rich person (or 2) doesnt spend that sort of money after the share price has doubled

without being right ! ;-)

Pollen St ( Investments) who have given KWG the offer of cash in return for conv. pref. shares in KWG
is a wealth manager
which sounds very similar to Kingswood, but it would appear, with better access to provide cash (which maybe Pollen has/will borrowed, or phps some of it)

so

one idea of an acquisition by Kingswood might be to buy.... Pollen St !!

or 'back it in'

or 51% if 100% might need a lot of cash
or some in cash & some in Kingswood shares

in 2019 K.wood increased its stake in a USA wealth mngr
& the 2 big shareholders in Kingswood own a stake in that as well ( clearly rich chaps, which useally infers they are quite shrewd ppl ( not many stupid ppl get to be rich by being in business !))

so that's perhaps an acquisition option as well

(maybe do the 2 of them )

& Asia was also mentioned as an acquisition target area
( creating a global wealth mngr looks g'teed to happen !)

interesting times !!

(& the names involved all look to be big hitters such as 1 guy that was an exec at Goldman, etc etc)

for 70% of 1/2 of the dirs options to be awarded the share price needs to be 50-60p. 100% of 1/2 needs >60p.

so, although the share price has doubled it might be worth holding on !

( dirs. are not stupid
they dont set a target they think there is no chance to hit.)

(the other 1/2 of the share options has EBITDA perf. for issuing perf. shares.

I dont agree with that at all

the interest on any cash debts or conv. prefer shares (5% ?)
is not included in the calc.
you could, in theory, produce £5M EBITDA but pay £5M interest
and produce
0 profit !!

yet get ~20M shares via the options

however they do own ~70% of the co. so they are unlikely to do that

& at least the options dont exercise till ~4.5 years from now

according to advfn

about an hour after a buy of 50.000 share at 20p

so, ~10% premium to get the volume !

whether the 125k trade will turn out to be a matched off trade...bed & isa....we will see...but I think not since that would normally be done within the mkt buy/sell price range

Full ask of 21p being paid this afternoon and that's for not very large.

The bests at the bid/ask are showing 20p v 21p.

The highest ask is now 25p, but that will quickly go into the "Up" lift on any sustained buying, as is already evidenced by recent upticks.

Looking very positive to me , they are delivering now , and doing exactly what they said they would do , and have the money to execute their strategy .I look forward to the next bolt on acquisition giving them further assets under management , which in turn will lead us to further advances in the share price .Once they have sufficient AUM , I imagine they will go for a full listing on the main market , which will attract further institutional support.

to try to give themselves some time to try to get some shares from sellers to fill the trades already done)

its a very interesting situation

when does a holding PI sitting on a good profit decide to top slice or get out completely

....during the process of acquisitions being made
....with each acquisition creating mkt interest in the shares....and each time making the co. bigger and stronger...

and then in the medum/long term....what will be the combined EPS of the acquisitions, and the P/E for that...
...and then over time....what are the synergies possible between the different acquisitions and the impact of that on providing an increase in the EPS ....

The share price is likely move steadily higher, in line with decent newsflow and eventually to the point where some sellers will emerge, as is to be expected, I feel.

But at that point I think we are very likely to be at a much higher share price than at where we presently sit.
