22/11/2019 21:11 | Pollen St ( Investments) who have given KWG the offer of cash in return for conv. pref. shares in KWG is a wealth manager which sounds very similar to Kingswood, but it would appear, with better access to provide cash (which maybe Pollen has/will borrowed, or phps some of it) so one idea of an acquisition by Kingswood might be to buy.... Pollen St !! or 'back it in' or 51% if 100% might need a lot of cash or some in cash & some in Kingswood shares ---- in 2019 K.wood increased its stake in a USA wealth mngr & the 2 big shareholders in Kingswood own a stake in that as well ( clearly rich chaps, which useally infers they are quite shrewd ppl ( not many stupid ppl get to be rich by being in business !)) so that's perhaps an acquisition option as well (maybe do the 2 of them ) & Asia was also mentioned as an acquisition target area ( creating a global wealth mngr looks g'teed to happen !) interesting times !! (& the names involved all look to be big hitters such as 1 guy that was an exec at Goldman, etc etc) | smithie6 | |
22/11/2019 20:50 | interesting for 70% of 1/2 of the dirs options to be awarded the share price needs to be 50-60p. 100% of 1/2 needs >60p. !! so, although the share price has doubled it might be worth holding on ! ( dirs. are not stupid they dont set a target they think there is no chance to hit.) ---- (the other 1/2 of the share options has EBITDA perf. for issuing perf. shares. I dont agree with that at all the interest on any cash debts or conv. prefer shares (5% ?) is not included in the calc. you could, in theory, produce £5M EBITDA but pay £5M interest and produce 0 profit !! yet get ~20M shares via the options however they do own ~70% of the co. so they are unlikely to do that & at least the options dont exercise till ~4.5 years from now | smithie6 | |
22/11/2019 18:01 | delayed reporting of 125,000 trade (buy) at 22p at 17:15 yesterday according to advfn about an hour after a buy of 50.000 share at 20p so, ~10% premium to get the volume ! whether the 125k trade will turn out to be a matched off trade...bed & isa....we will see...but I think not since that would normally be done within the mkt buy/sell price range --- if the 2 buys were from 1 person it would be a total of 175,000 shares or 37,500 pounds !!! wow !! ---- I get the feeling that despite the big rise in recent weeks...some ppl (with deep pockets) clearly think the share price is going to rise more & the chart not showing any fall backs at all after big % rises also infers that ---- what % of the shares are actually available to be traded ? not a big % imo | smithie6 | |
