Completion of Consolidation & Total Voting Rights
As described in the announcement and Circular dated 10 July 2020 and following approval of the resolutions at the General Meeting on 27 July 2020, the Company is pleased to announce that the Share Consolidation became effective at 6:00 p.m. on 28 July 2020, with every 100 Existing Ordinary Shares consolidated into 1 New Ordinary Share of 1 penny each in the capital of the Company.
An application has been made for the admission to trading of 64,160,082 New Ordinary Shares. It is expected that Admission of the New Ordinary Shares will occur at 8:00 a.m. today, 29 July 2020. The New Ordinary Shares will have the same rights and are subject to the same restrictions as the Existing Ordinary Shares in issue prior to the Share Consolidation.
The New Ordinary Shares will trade from today under the new International Securities Identification Number code (ISIN) of GB00BLPJ1272.
Following the Share Consolidation and admission of the New Ordinary Shares, the total number of shares in issue and voting rights in the Company will be 64,160,082, of which none are held in treasury. The figure of 64,160,082 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the share capital of the Company under the UK Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as defined in the circular sent to shareholders of the Company on 10 July 2020.
