(the "Company") wish to announce that the Company has incorporated a wholly owned subsidiary, Tapir Venture Holdings Ltd under the laws of the British Virgin Islands, having its registered office at Craigmuir Chambers, Road Town, Tortola, VG 1110, British Virgin Islands (“Tapir Venture”), through which, subject to shareholder approval of the Company, a 10% equity stake in Rendeavour Holding Limited ("Rendeavour") comprising of 102,155 ordinary shares, will be acquired, for a total consideration of US$87,512,102.30 (the "Acquisition"). The 10% equity stake being purchased in Rendeavour will be acquired by a combination of the subscription by Tapir Venture of new ordinary shares in Rendeavour and the purchase of interests held in Rendeavour by four separate shareholders (the "Sellers"). The general terms in relation to the Acquisition are contained in a Master Transaction Agreement which was executed on 26 June 2024, and which terms are further particularized under separate transaction agreements. Rendeavour is an exempted company organised and existing under the laws of Bermuda, having its registered office at Crawford House, 50 Cedar Avenue, Hamilton HM 11, Bermuda. Rendeavour is a lead investor in East and West African land platforms focused on providing high quality infrastructure, planning and urban management to create the foundation for satellite cities that reverse the current trend of unplanned development and urban congestion in Africa. The funding for the Acquisition will be through a combination of cash and the issuance of new shares in the Company. More specifically: i) the Company is expected to receive a total of USD$34,236,589.78 from the issuance of new shares to Lord Ashcroft (or a company with which he is affiliated) further to the Company's receipt of his subscriptions for shares; ii) the Company is expected to receive a total of USD$10,000,000 from the issuance of new shares to Lockington Partners Limited, a company incorporated in Bermuda, further to the Company's receipt of its subscription for shares; iii) the Company will also receive a total of USD$4,999,493.10 from the issuance of new shares by way of a limited private placement to qualified investors; iv) the Company will also provide USD$15,500,000 from its cash reserves; and v) the Company will issue new shares valued at USD$22,776,019.42 to one of the Sellers, as consideration for the Company's purchase of a part of that Seller's shares in Rendeavour. |

Or any of the loan notes ! 6 weeks & there corporate actions team still hasn't sorted things out :( You don't by any chance have a number for either Heather Ventures or Tapir ? Thanks LOTM |

I suspect a number of investors will use this to increase their holding especially as the Co has confirmed another tasty dividend in January. So i expect to see buying today. Anyone had their dividend yet? |
Posted at 15/3/2021 16:52 by loads2 I wonder about this company perhaps being a big beneficiary from covid ie making money out of it. Lord ashcroft and his medical business here certainly reaping the benefits ...Impellam (and Carlisle) are possibly morally and ethically compromised but so too are lots of other businesses Impellam (and Carlisle) must be making a fortune right now. And ashcroft in Belize must be enjoying it all for himself ... so private investors can only get crumbs from the table of wealth created by these businesses Does anyone here have any idea of how might look the next set of results due April 2021 The share price seems low, the pe is low. Money is being made out of covid? Is this right? Does it matter? Ethics aside, where is this share price going? |

I quote below from their latest note."Eligible Shareholders are those Shareholders on the Company's register of members at 5.00 p.m. on 10 July 2015 who hold not less than 10,000 ordinary shares in the Company and to whom the distribution or communicating details of the Share Dividend would not be in breach of law or regulation (or otherwise not practicable for the Directors to so conclude). " IMHO this means that many investors with up to £70k invested will be thinking about selling. |
Posted at 28/2/2013 08:16 by cb7 minimal results statement as usual...no breakdown and statement on each division and incredibly no word on current trading/outlook.They let themselves and shareholders down in this respect. I know they have previously said that this year they will return to eps growth, but that needs to be confirmed and re-stated (if true), otherwise we are left in doubt and also prospective investors will stay clear. |
Posted at 23/6/2011 08:23 by horace678 I went to the AGM two years ago, and it was just a question of formalities. I learnt the most from the casual conversation with the top brass (Cheryl Jones etc) during the tea and biscuits afterwards. There were only about four private investors there. |
Posted at 22/10/2010 08:31 by cb7 although Ipel have traditionally been short on giving investors much info, (just look at their result statements), I thought this latest trading statement was their IMS... especially as it referred to the debt situation at the end of the third quarter. As things are now very positive, perhaps even they couldnt resist pushing out a rns |
