 Results of Placing and Open Offer of 5.5 per cent. Convertible Unsecured Loan
                                   Stock 2009


On 20 August 2003, Impax announced a Placing and Open Offer of #2,534,697
nominal of 5.5 per cent. Convertible Unsecured Loan Stock 2009 ("Stock").

The Open Offer closed at 3.00 p.m. on 12 September 2003. Taking into account the
Stock placed with Eligible Shareholders, the Placing and Open Offer was taken up
as to 62 per cent. by existing Shareholders. Subject to shareholder approval of
the resolution to be proposed at the Extraordinary General Meeting of the
Company on 15 September 2003, it is expected that dealings in the Stock will
commence on 16 September 2003.

Words and expressions defined in the Prospectus dated 20 August 2003 have the
same meaning as in this announcement.
