Company now at break-even since the now sold Justfone contributed an 86K loss to the results. Very strong balance sheet but the big bonus is the 2p interim dividend. Happy to hold longer term now. 18/6/2003 09:56 | I thought the disposal of JustFone was good news (RNS 13th June). Frankly I thought it was almost worthless because it was lossmaking. However they've got a few hundred grand for it. I also liked the last paragraph about building a pre-eminent position in the sector. Its positive and suggests, to me anyway, that current trading is OK. IMO the current market cap implies current trading has fallen off a cliff. "Faced with conflicting investment priorities, Holders has decided to concentrate on the printed circuit board materials business, where we are building a pre-eminent European position in our sector." Best to look at the website at www.holders.co.uk to get a better idea of what they do. You can also download the annual report. Current price of 40.5p gives a market cap of 1.68M on 4.15M shares in issue. For final results to end of November turnover of 9M and posted small loss of 120K. Company paid a 2.5p dividend as a sign of confidence for the future. Cash flow positive to the tune of 0.9M. Net current assets of 2.9M = 70p Net tangible asset value of of 4M = 100p Freehold property of 520K (worth 12.5p) on the balance sheet Announced an acquisition before the year end of an unpronounceable German company. This unpronounceable had 4.5M of turnover and 21K of operating profit for 9 months to end of September 2002. So HDT now has annualised turnover of 15M. Weinrich the CEO holds 50% (2M) shares, Eaglet Investment Trust owns 20% so there cant be many shares floating around. The spread is rank, apparently because there is only 1 market maker. Assuming current trading is OK then company is clearly far too cheap. In my experience companies at this market cap with 15M revenues have an asset deficit. 12/6/2003 13:05 | Some info on the acquisition just before last year end. ==================== Holders Technology plc Acquisition 27th November 2002Holders Technology plc announces that it has reached agreement with Cimatec GmbH Produkte für Leiterplatten (Cimatec) to purchase the assets and business of Cimatec's materials division. Cimatec, which is based near Frankfurt, Germany, provides materials to the printed circuit board industry in Germany and other European countries. Commenting on the agreement, Holders Technology Chief Executive, Rudi Weinreich, said: "The acquisition of the Cimatec materials business will strengthen Holders European coverage to the PCB industry. Cimatec has a strong product range and excellent production facilities that are highly complementary and an excellent strategic fit with the existing Holders Technology business. The PCB industry remains depressed and further consolidation is inevitable. We are alert for additional opportunities and it remains our intention to strengthen our links to the Far East." Holders has formed a new 100%-owned subsidiary, called HT Cimatec GmbH to acquire the Cimatec materials division. The assets to be acquired consist of fixed assets, stock and the outstanding order book. Total consideration is Euro 1,131,000 (approx £716,000) payable in cash of which 70% is payable on completion and the remainder after three months. I'm certainly optimistic about the prospects of the justfone products and if the products are good enough hope to see some partnerships. Very interesting new mobile software division who's products are being well received , drop off in orders leveling off, WEBB holding near 30% of stock . Good recovery play.
