Final Cash Offer

On 7 August 2018, the Independent Harvey Nash Directors and the Board of Bidco announced the terms of a recommended cash offer for the entire issued and to be issued share capital of Harvey Nash Group plc, other than those Harvey Nash Shares owned by Bidco or, otherwise, directly or indirectly owned by the DBAY Funds (the "Acquisition"). The Acquisition is being implemented by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act. A circular in relation to the Acquisition (the "Scheme Document") was published on 4 September 2018.

Under the terms of the Acquisition, each Harvey Nash Shareholder is entitled to receive 130 pence in cash for each Harvey Nash Share (the "Harvey Nash Offer Price") and one interim dividend of up to 1.75 pence for each Harvey Nash Share which may be declared prior to the Effective Date, (together, with the Harvey Nash Offer Price, the "Offer Price").

Bidco announces that the Offer Price is final and will not be increased.

Capitalised terms used but not defined in this announcement shall have the meaning given to them in the Scheme Document.
