   NOTIFICATION OF PROPOSED INVESTMENT MANAGEMENT AGREEMENT CHANGES 
 
   HarbourVest Global Private Equity Limited ("HVPE" or the "Company") 
today announces that the Board of Directors and the Investment Manager 
propose to implement a number of changes to the Investment Management 
Agreement and, subject to shareholder approval, the Articles in order to 
allow the Company to be eligible for a Premium Listing on the London 
Stock Exchange. 
 
   Both the Board of Directors and the Investment Manager are committed to 
applying for a Premium Listing as soon as circumstances are appropriate 
for such an application. The proposed changes will come in to effect 
when all the necessary conditions for applying for a Premium Listing are 
met or are expected to be met. These changes will include granting full 
voting rights to the A shareholders. 
 
   At present, the continued high level of U.S. shareholding raises 
complexities in implementing the changes necessary for the application. 
However, the Board of Directors and the Investment Manager are committed 
to granting voting rights to the A shares as soon as reasonably 
practicable, and are monitoring the level of U.S. shareholding, with the 
goal of moving to one class of shares with full voting rights listed on 
the London Stock Exchange. 
 
   HVPE notes the significant progress made in redistributing the Company's 
shares to non-U.S. registered investors. In this regard, the Board of 
Directors believes that the proportion of U.S. registered shareholders 
has reduced from approximately 64% as at January 2013 to approximately 
53% as at January 2014. 
 
   The Company will continue to work with its advisers to expedite a 
Premium Listing for the shares.
