Loglorry if we get a successful drill the share price will no doubt be higher so YA can only convert 10% less of the minimum share price for October of the value of 400k $ so around 300k £ e.g.. share price 0.5p YA 0.45p so 67 million shares the last 5 trading days have been over half billion each day

PMSL! It's a legal notice filed to the company secretary to convert the convertible bonds into new stock which are then issued. It isn't some sort of chat on the phone negotiation.

WShak has been short on FRR for ages so I reckon has been badly burnt. Some good points are made and I'm sure the NOMAD would have given them a talking to. Perhaps the notice was made and Zaza thought he had persuaded them to change their minds and they went with it. Either way, poor practice for sure.

You can't hide the fact that aside from that Zaza is communicating properly, reporting back on ops as far as key milestones go and if the testing goes well this will rocket past 1p IMO. Reserves can be booked, revenues through the roof and a sustainable business. Georgia will be on the energy map and many majors will be sniffing around. Holding and adding on dips.

Waseem those shares have been pre sold so been absorbed into the market next tranche will be at a much higher rate e.g share price 0.5p so October YA will only get 67 mil shares

Frontera appear to have been withholding market sensitive information from investors again.

The terms of its death spiral financing with YA II PN Ltd are:



... convertible into a maximum of 1,300,000,000 ordinary shares of the Company using the conversion price which, in respect of each conversion, shall mean the lesser of (i) the Fixed Conversion Price, or (ii) the Variable Conversion Price, where "Fixed Conversion Price" shall mean (a) up to and including December 31, 2017, 1.0 pence per share, and (b) after December 31, 2017, the lower of 1.0 pence per share or the closing bid price per share of the ordinary shares of the Company as of December 31, 2017, and "Variable Conversion Price" shall mean 90% of the lowest daily volume weighted average price of the ordinary shares of the Company (as reported by Bloomberg) over the five consecutive trading days expiring on the trading day immediately prior to the date of delivery of the relevant conversion notice.


The price set for the conversion (in the 19 Sep RNS two days ago) was 0.09p, which means that the notice of conversion must have been given when the price of the shares was 0.1p for the preceeding 5 days.

This means that the conversion notice was supplied on or around 6th September. Why did Frontera Resources not announce this to the market as it is a material event?

Instead, the shares have traded well above that level since that date, allowing YA to sell their shares at a vast profit or, more likely, sell yet more shares forward. FRR do not benefit directly from the conversion notice being withheld from the market, but they are enabling YA to trade on inside information. At least, that is how it looks to me IF YA have traded in FRR shares since their conversion notice.

FRR doesn't appear to have improved on corporate governance issues.
