What I like about the prospects of Bleepa is that FDBK have already got a foot in the door with the NHS so it's not as though they are starting from scratch.

meganxmas thanks for all your comments re the placing process. Its all new to me.

I did approach Peterhouse to try and take part, but have not had the follow up I expected, I was probably too late judging by the rushed out RNS after the leak, but that does give me confidence that they have raised what they need, and I was interested to hear TO talk about going for £1.5m and getting £2m.

Im sat just above 1% of the post placing shares in issue, and happy to remain there.

TO seems positive, we'll have cash, and so roll on the NHS expo

Yes, I'm angry. Every placing this company has done has leaked in advance and still it continues. Nobody in charge seems to give a damn.

So reasonable to presume they took part. No doubt we'll find out after the placing and subscription have been approved by shareholders.

They could make an announcement because "we've successfully raised funds" is very different to "use their reasonable endeavours to procure subscribers for the Placing Shares at the Issue Price"

The important thing is they've got the money now let's drive the marketing of Bleepa.

When I spoke with the CEO and also with Peterhouse there had been a number of very well received institutional presentations ... instis could be life offices etc... the initial plan was £1.5m but they had demand for £2m so went for it. The written acceptances might have been at that precise time versus verbal acceptances I dont know but dont believe a significant point. I do know the timetable/announcement was accelerated because if the leak. Cant announce all completed as subject to board approvals etc as per the timetable.

1. I am wondering why there hasn't been an RNS to declare that "we've successfully raised funds" from the recent placing.

2. I am also wondering why the reason given for the fundraise besides the other two reasons was:-

"To complete the development of the BleepaTM, the Company's clinical messaging product;"

On point 2. Andrew Scott as usual took the wording from the RNS so this was again published to describe the interview. LR2 was quite right in what he said in an earlier post about this point. Yet there was no mention in the interview about development at this stage.

I think the RNS was poorly written and has led to confusion.

On point 1. I think the funds had been raised when announced on 12th August 2019. The subscription is separate from the placing and so a figure had to be given for the subscription amount.

However the confusing part is:-

"Pursuant to the terms of the Placing Agreement, Peterhouse and Stanford Capital, as agents for the Company, have agreed conditionally to use their reasonable endeavours to procure subscribers for the Placing Shares at the Issue Price"

I don't think the RNS should have contained that statement otherwise a new statement would need to be issued now.

So a poor RNS but a great interview.

Meganxmas, thanks for your posts but how do you know institutions took part in the placing? There is nothing in the public domain to suggest this.

TO may well be "disappointed" at the leak and subsequent shambles of a placing but as he is not a shareholder in the company I am sure his "dissappointment" is not as great as that of shareholders!

1. If the full £2 million was placed why did the placing note say "The Company has received letters of subscription for, in aggregate, 57,700,000 Subscription Shares." A fully subscribed placing would have resulted in 166,666,667 Subscription Shares having been taken up on the day. Maybe they have now but they hadn't then.

2. If you were happy to subscribe at 1.5p, the question you should be asking is why couldn't the company raise £2 million at that price. The company only thought 1.2p a share was worth trying to get. Perhaps that's all they think a share is really worth at present. Not wrong either, that's exactly where the price is today.

3. If the leak wasn't planned then it was an astonishing coincidence that the "Placing and the Subscription will result in the issue of a total of 166,666,667 New Ordinary Shares, representing, in aggregate, approximately 30.87 per cent. of the Enlarged Share Capital."

The Placing Price represents a true discount of approximately 31.42% to the closing mid-market price of 1.75 pence per Ordinary Share on the day before the placing was leaked. (The last day the share price didn't decline before the placing was announced.)

30.78% vs. 31.42% is close enough in my eyes to tell me that the placing was almost certainly leaked and that the share price was pushed down to the appropriate level to facilitate it. The markets knew precisely what was going on and the board didn't have the guts to pull the plug in disgust. They took the easy option and screwed their long term shareholders again.

4. If the company "were very angry about the leak" then why has the status quo remained in place? If the leak came from the board then we should have seen heads rolling. If the leak came from promoters (or their customers) then they should be sacked and replaced. As nothing has happened then I must assume that nobody gives a damn.

Good luck with your new holding. I imagine you will be selling as soon as possible so you can take part in some other placing much like the vast majority of people who are about to acquire new shares.

Reading a lot of opinions here. And to be fair I am coming from perspective of having no history with this share. I was watching it with interest when saw the Bleepa announcement. Subsequently got opportunity to participate in placing which have done. It is subject to board consents but as far as I am aware £2m has been placed and most with institutions. As part of my decision making process I spoke with Tom and have to say was very impressed with his enthusiasm, belief and honesty regarding the proposition here. I think there is a genuine belief that they are onto something very significant here but as with all things NHS will need to sell /integrate and that can take time. Bit they have superb contacts and the medical grade imaging is a differentiator. I watched the video today and personally thought very professional and honest. As for share price ... yes have to be happy at entry price but would have been happy at 1.5p. From what I heard the promoters and company were very angry about the leak. It wasnt planned. Just thought would give my thoughts.
