At an EGM held on 8 May 2006, as previously announced, the shareholders approved
the reorganisation of Eicom's share capital as set out in the EGM Notice dated
12 April 2006.

Eicom plc, the digital TV channel management company, today announces the
completion of its share capital reorganisation as confirmed by an order of the
High Court. This will allow for a reduction of the Share Premium Account and
reduction of Share Capital.

These actions will be reflected in the balance sheet drawn up to 31 December
