Stok reply, here's the one I had...

With regards to the acquisition of GKN Hydrogen, we approved the press release that Langley Holdings released on 1 August but it was not material enough to trigger a regulatory announcement

Our results for the first six months to the end of June 2024 will be published on Tuesday 13 August (we are in close period now) where we will provide a more comprehensive Group update

So basically the board let it go for next to nothing, hence why no RNS.

(Having previously said it was worth £50m. Which would have been material given the £875m market cap).

I have given you the listing obligations. The text, quite clearly in English, states that an RNS has to be given in the current conditions we find ourselves in; just to remove ambiguity that is where some news information as leaked from the counterparty. Clause 9.4 is quite clearly applicable here.

So, your reasoning is because some third party has released news and it hasn't had an immediate affect on the share price it removes the need for Dowlais to issue a formal RNS despite the listing obligations stating that it should.

Enough said. Draw your own conclusions folks!

Essential, yes it does matter because it gives us great insight into the integrity and sincerity of the board towards the company's owners.

As Buffett once said: "you can't do good business with bad people."

I'm also concerned about the rest of the business but that doesn't mean I'm going to overlook poor reporting such as this.

FFS, does in matter in the big scheme of things..I would be far more concerned on the outlook for the remaining business, with huge change underway in the auto sector.

I wld say this is pretty much uninvestible currently. Any upturn will be hugely sold into by those who have averages of 70+ plus.Following the lack of transparency of the company re Langley, have decided to take this off my watchlistGood luck tho

Key UK Listing Rules obligations

General obligation of disclosure for companies

9.2 A company must notify a Regulatory Information Service without delay of all relevant information which is not public knowledge concerning a change:
(a) in the company's financial condition;
(b) in the performance of its business; or
(c) in the company's expectation as to its performance;
which, if made public, would be likely to lead to substantial movement in the price of its listed securities.

[I would assume that a division sold that was consuming free cash flow affects the company's financial condition. If the sale has yet to go through then see 9.4]

9.4 ....

If the company has reason to believe that a breach of such confidence has occurred or is likely to occur, and, in either case, the development or matter in question is such that knowledge of it would be likely to lead to substantial movement in the price of its listed securities, the company must without delay notify to a Regulatory Information Service at least a warning announcement to the effect that the company expects shortly to release information which may lead to such a movement.

They have half year results our on the 13th and will no doubt provide an update on the sale of the hydrogen division at this time.
