I suggest Joe Say you go and find the video and listen to the reason they don't want Arqiva. I'm sorry I can't give you a link and don't have the inclination to go and find it.

My memory of the reason is a big vague but part of it was something to do with the BBC licence fee.

I would add that should anyone be thinking of forming an action group then I would gladly join that.

I'd take that with a pinch of salt CC2014

For example, Liebour also made various tax promises - but that doesn't necessarily mean they'll keep them.

There's a presentation where CORD are asked this by an analyst if they are interested in Arqiva. The answer was a resounded no.

So I suggest you guys knock that idea on the head.


(Further, a read of any of CORD's larger RNS or the accounts would quickly lead you to that conclusion)

If CORD wanted Arquiva, they could buy it on the very cheap, without can-of-worms DGI9.

A 3 for 5 from CORD and I'd be dancing in the street. I'd be very happy with a 1 for 2, CORD seems pretty well run and there's upside on the shares

Cordiant already own broadcast infrastructure in the Czech Republic and in Poland and in Belgium

So Arqiva would probably be a very good fit for them

So a 3 for 5 shares offer from Cordiant would be worth about 48p per share for DGI9 shareholders

And a 4 for 5 shares offer would be worth about 64p per share

The board of directors could then tell DGI9 shareholders what a good offer price they have negotiated at a 40% premium to the “most recent” NAV of 45p

An outcome like this looks quite possible now and 45p will obviously be the floor price for any offer from Cordiant or another large infrastructure company

A bid of 45p in Cordiant shares (on a 35% discount so "70p" of NAV) has a bit of symmetry to it. Talk us down to 45p but then sell us on retaining the old NAV / upside because we're getting shares "worth" 70p...

But whether the Cordiant Board and major shareholders want to get involved in this mess is another question...

Of course it could be any other infrastructure or PE fund currently trading on a discount but looking for ways to get bigger.

Well we should get the 2024 Annual Report of Arquiva and the 2023 accounts of Aqua Comms this month. They would help!
I'm not happy (amongst other things) with the lack of detail in yesterday's RNS. It leaves way too many important questions hanging, and I question why. Perhaps the OakBloke is right, and we're being softened up for a low-ball offer!
At this point, a "clean" 45p offer would leave me feeling both relieved and ripped off at the same time. But I'd take it and move on to the next story.

A floor price of 45p is not a bad outcome for shareholders

I guess the problem for us shareholders is that we no longer have a clue what this is really worth so how do we know what is a good offer. Personally I'd happily take 35p now - it's likely worth a lot more but who knows?

I guess the acid test though is whether if they did sell up at say 45p we would want to let them loose with some of the proceeds to embark on litigation or just to call it a day and move on. I think I would perhaps take the 45p if on offer.

Oak Bloke - if I understand correctly - hints that the vague 45p NAV might be due to somebody offering to buy the whole company for roughly that amount. (perhaps in shares instead of cash) With all this BS about financing conditions attempting to set up the bidder as a "white knight".

There's certainly some logic to the idea that Arqiva + Verne earn-out doesn't make sense as a stand-alone IT. And letting DGI9 investors remain invested in those assets (via another, larger publicly-traded entity) might be more palatable than selling out at fire sale prices.

Always go after the deepest pockets. I sold half my holding last year but kept the rest after the RNS in July 23 where they said the 6p dividend would be maintained and wholly covered by the end of 24. So I told the wife let's hold on as we are getting 10% income until the macro environment improves. I've been the director of a Jersey based UK 250 infra find and that statement would only be made after a sign off from all the advisers.
