Result of General Meeting

Crawshaw Group plc (AIM: CRAW), is pleased to announce that the Resolutions put to Shareholders at the General Meeting of the Company, held earlier today, were duly passed.

Admission of the 33,794,490 Subscription Shares to trading on AIM and dealings in such Subscription Shares is expected to take place at 8.00 a.m. on 26 May 2017 ("Admission").

Following Admission, the total number of Ordinary Shares in issue will be 113,025,049. There are no shares held in treasury. Accordingly, the total number of voting rights in the Company on Admission will be 113,025,049. This figure may be used by Shareholders as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

Board Appointment

As stated in the Company's circular published on 9 May 2017, Crawshaw is pleased to announce the appointment of Stephen Henderson (age 59) as a Non-Executive Director with effect from 26 May 2017. Stephen's appointment follows the previously announced appointment of Jim McCarthy to the Board as Non-Executive Director and Chairman-elect.

Stephen Henderson is CFO for the Boparan Private Office and a director of Invest Co 1. He was previously CFO of Boparan Holdings Limited until 2014 and prior to that held a number of senior finance roles at Northern Foods plc, including acting as CFO of Northern Foods plc when it was acquired by Boparan Holdings Limited in 2011.

Save as disclosed at the end of this announcement, there are no other details regarding Stephen Henderson that are required to be disclosed under paragraph (g) of Schedule 2 of the AIM Rules for Companies.

Details of compulsory liquidations

Century Way (Number Seven) Limited ("Century Way") was dissolved on 5 September 2008 following a member voluntary winding up as the company was dormant. Stephen Henderson was not a director of Century Way at this time. Century Way was then restored on 19 February 2013 in order to settle a small personal injury claim and Stephen Henderson was appointed as a director of Century Way on 3 December 2013 to handle the claim. The claim was settled and Century Way was then dissolved via compulsory strike-off on 27 January 2015 as the company was dormant.
