Directors' Shareholdings

On 12th October 2004 the Company was informed by the following directors of
their increased interests in Ordinary shares of 10p each in the Company as a
result of allotments following the Offer by the Company for the Ordinary share
capital of ComProp Limited having been declared wholly unconditional. In
accordance with the terms of the Offer all shares were allotted at a price of
66p per Ordinary share:

 1. In addition, Jurat Lowe is Chairman and Managing Director of Cadic Holdings
    Limited which was not a shareholder of ComProp Limited and which continues
    to hold 28,233,800 Ordinary shares (11.26%) in the Company. His beneficial
    and non-beneficial interests in the share capital of Cadic are 7.71% and
    44.14% respectively.
