MARKET PURCHASE BY PERSON DISCHARGING MANAGERIAL RESPONSIBILITY ("PDMR")

On 25 September 2017 Alex Vaughan, chief executive officer, was granted an option over 1,401 shares (as adjusted from 1,319 following the capital raise completed May 2020) under the Costain Group PLC Sharesave Plan. At maturity on 1 November 2020, Mr Vaughan elected to purchase shares in the market with the proceeds of his three-year savings contract as part of a share purchase programme offered to all participants with maturing options in the 2017 Sharesave Plan. This arrangement was made available as the option price to subscribe for shares for the 2017 Sharesave Plan was GBP3.363 per share (as adjusted from GBP3.574 following the capital raise).

Accordingly, the Company announces that Alex Vaughan purchased 13,585 shares on 2 November 2020 at a price of GBP0.342 per share. Following the purchase, Mr Vaughan has a shareholding of 228,461 shares in Costain Group PLC.
