Update on Acquisition of Adeline Project in Labrador, Canada

VANCOUVER, BC / ACCESSWIRE / January 27, 2023 / Pacton Gold Inc. (TSXV:PAC)(OTC PINK:PACXF)(FSE:2NKM) (the "Company" or "Pacton") today announces that, further to the Company's news releases dated October 19, 2022, November 16, 2022 and December 6, 2022 in connection with the acquisition of the Adeline high-grade copper project in Labrador, Canada (the "Acquisition"), the parties have elected not to proceed with the Acquisition and have mutually agreed to terminate the property purchase agreement.

Nav Dhaliwal, Interim President and CEO of the Company, commented, "Pacton's decision to withdraw from the Adeline project agreement follows five months of detailed analysis of excellent prior geological work. The ‘Adeline Copper Belt' is one of the world's most prospective copper exploration projects, in terms of its large area and extraordinary number of surface copper showings. Regrettably, our geological team concluded that the immense scale of the project exceeds Pacton's capacity to take the project to the development level."

Pacton will not be proceeding with the non brokered private placement financing it announced on November 25, 2022 and intends to continue to focus on its existing projects in Red Lake, Ontario.

The market seems to have this wrong in my considered opinion, I have taken some this morning as a result.

The share price was trading around 2.5p the day the sale of Adeline to Pacton was announced in November, the deal was considered a poor one for a number of reasons, the share price plummeted days after.

Today CHF still own 100% of Adeline with new options on the table, the cash position is probably better than many suggest due to extensive cost cutting as discussed in the results statement.

In my view the share price will recover ground, possibly back to the 2.5p region based on today's news and future events.

No wonder it was hard to buy this morning.

So they want a greater percentage or want to pay us less, and we rejected that notion?

"following a thorough process which drew interest and indicative offers from a variety of operators....We are hopeful that this process and the discussions that we had in September last year can be quickly revived to achieve our goals for Adeline"

All is not lost, but we must be down to our last quarter million GBP in the bank.

They had £600k net cash in June, 7 months on that must be down to a generous £150k, no company can run on that treasury so something has to give.

Would tend to agree that a placing seems imminent, the market will be wary.

You just knew bad news was coming when Doc Holiday was ramping away recently.

Pacton pull out of Adeline deal, means no cash for Chesterfield, means placing imminent.

The discount on sector placings currently ranges between 20% to 50% - CHF are running on fumes.

This could easily tank to 1p-1.25p range soon enough.

Sorry for holders.

When the Adeline deal concludes we'll get £800k.

Then Pacton will drill, and there should be some excitement about that.

In Cyprus we don't have the cash or capacity to drill ourselves, but they said they planned to buddy up with a partner.

Of course there may be a placing, but our "owners" said they didn't want a placing at this level to finance Adeline, which is why it was divested, so I think they'll place shares at the back end of the year but by then things will look totally different.

The cash position here must be dire, they had net cash of £660k in June, they are burning circa £500k half yearly.

A placing must be imminent, even if they receive cash from the sale of Adeline from Pacton, which in itself depends on Pacton raising cash, it is staged over 12 months, not enough inbound cash therefore.

Nil revenue explorers like CHF are struggling to place stock unless there is a SIGNIFICANT discount to market, see BEM recently discount was 50%.

This is a total avoid therefore, a raise at 1p is entirely possible.

Doc Holiday won't mention this on his podcast for certain.

I'm not a fan of doc Holiday, not sure if he's sponsored and therefore biased, or pumping up his own portfolio?

I don't know, maybe he's honest and sincere.
