hopefully not see the usual 10-15p mark down following a rise. be nice if the price held (or rose) after results - usually falls off a cliff

You know things are going well when the price rises on no transactions! £3 by the interims IMO

AimShare says - on the new acquisition:

"No question about it, the most recent reports pitch Chelford right back into play."

From BVM results today - note what they say about RFID

"Prospects, both at home and abroad, look very encouraging and in the longer term there is a great deal of interest in Radio Frequency Identification 'RFID', currently only applied in Belgravium's test projects but which offers a large potential market".

Have a look on the Agility website - a pretty neat range of hardware and software especially epos which looks like it makes a great fit besides the RFID.

And to think this is at pretty much an infant stage yet they company is already very profitable.

Couple of interesting forthcoming events that might see news.

Actually that's a reference to a Charlse Stanley note. It says Charles Stanley have a short term target of £2.95 and a longer term target of £4.

That must be an upgrade then because Charles Stanley just had a target of £2.90p on their previous note, I just checked :-)

Results should be interesting.

Cheers Tole - a great acquisition in its own right but the market just hasn't grasped how big RFID is going to be - this will cause a stepchange in CHR imo.

Summary -

Even with the recent share price hike, shares are still trading at only 13.3 times 2006 earnings forecasts, which does not look overstretched. Chelford has a good, solid core business, plenty of growth potential in its newer SAP consultancy and Agility could just bring in some exciting new opportunities.

The shares should continue to do well over the medium term

The Stock Market Report for Thursday September 1st from UK-AnaIyst.com

News of an earnings enhancing acquisition sent shares in business software provider Chelford Group 25p higher to 266.5p. The company said it had bought supply chain systems company Agility Systems Ltd for up to 3.8 million pounds. Last year, Agility posted pre-tax profits of 427,000 pounds on turnover of 2.55 million pounds and as of the end of 2004, had net cash of 550,000 pounds. Chelford said it would pay 1.8 million pounds cash up front, and issue 486,815 new shares valued at 1.2 million pounds. In an accompanying statement, Chelford's chief executive Trevor Lewis said the acquisition would be earnings neutral in 2005 and "significantly" earnings enhancing in 2006.

yep, I bought more today too.

If the full year looks anything like 10% ahead after the interims then I reckon 28p is on the cards next year. A PE of 12.5 is too low says Charles Stanley.

A PE of 15 would be £4.20p and you'd be getting 40% growth for that - ruddy cheap at that price imo. And net cash too.

My modest 1200 at 259.35p seems to have done the trick, CC. MMs can't have much stock.

I've been doubtful about this one, CR, but I'm beginning to see the light. There will have to be a big rise in forecasts. I think I'll top up.

Exactly.

Pre-tax of £425 for the year gone - add in some organic growth and some synergies and you have to think the acquisition will add atr least £600K minimum to the pre-tax next year, on top of current forecasts of £1.9m - so at least 30% on top of the current forecast.

Then add in the 7% dilution for the new shares and it's easy to see this should add at least 25% to next year's earnings - possibly a lot more with the benefits of CHR being able to ply it to their current high quality client list.

If CHR just meet expectations this year then 25p eps is on the cards for the year ahead. PE is 10 maximum and growth 35%+ for the year ahead?

No-brainer is the term I'd use too!

This is the bit I like..."We expect Agility to be earnings neutral in 2005 and
significantly earnings enhancing in 2006."

Even if Agility repeat the same performance from last year then we can expect Chelford to deliver a minimum of 25p eps which puts them on 10 times forward earnings with bags of growth.

A no brainer if ever i've seen one IMO.

Looks like a very smart acqisition; note a great deal. BUt I also like the management from a cash/stock perspective: the purchase price is a deferred consideration and that the shares are locked in really until the earnings are enhanced (and cannot be traded anyway untl earnings are enhanced ie 12 months from now) preventing dilution for us existing holders
