Notice of Extraordinary General Meeting

Chariot announces that a Circular has today been posted to shareholders containing notice of an Extraordinary General Meeting ("EGM") to be held at Ground Floor, Regency Court, Glategny Esplanade, St Peter Port, Guernsey, GY1 1WW at 2.00pm on Thursday 21 November 2013.

At the EGM a resolution will be proposed to change the Company's Articles of Incorporation to remove the prohibition on holding Board Meetings and General meetings of shareholders in the United Kingdom.

If approved, this resolution will provide the Company with increased flexibility in terms of;
a) managing its day to day business; and

b) managing the meeting processes for obtaining shareholder approval on matters where this is required.

y that ??

for namib farm out and drilling i wont hold my breath.. i think that they r all watching and waiting for a commercial oil hit or any hit at all, so as to be able to feed new drill information into their own models.. no to mention the positive momentum that will grip the region upon a successful find..
so namibia will be slowly slowly for all companies concerned.. until that elusive one shows up..
however char have rather nicely diversified into other new frontier areas which nowadays look more promising than namibia..
me thinks that mauritania will be on the cards to being drilled by late 2014 with the Cairn rig which will be passing thru those or nearby waters, at the very latest in 2015..
i think that if the final mauritania 3d seismic results hold the promising look which enticed Cairn to pay for the 3d seismic before final results were published, that the rig passing thru will definitely be spudding by xmas time 2014..

in such a situation, if char was to sell off or farmout say 30% chunk of the 55% currently held b4 drill spud, then they would effectively be free carried on the potential drill.. with the farminee paying for 55% of drill but being left with 30% and char 25%...
however, if times r tuffer than now, they could always farm down to a point where char only needs to put in some $10mill for the drill but remain with at least 25%.. in very tuff times even that would not be such a horrible scenario..

Not according to the published roadmap, nor according to the reason CHAR went with CNE - because CNE had rigs available in Mauritania in 2014.

Farm-out agreement in Block C-19 (Mauritania) with Cairn Energy PLC ("Cairn")approved

Chariot Oil & Gas Limited (AIM: CHAR), the Atlantic margins focused oil and gas exploration company, reports that, as detailed in the announcement of 8 August 2013, the farm-out agreement signed between its wholly-owned subsidiary, Chariot Oil & Gas Investments (Mauritania) Ltd. and Capricorn Mauritania Limited, a wholly owned subsidiary of Cairn, on licence C19 offshore Mauritania has been approved by the Ministry of Hydrocarbons in Mauritania and all other approvals and conditions precedent to the transaction have been granted or fulfilled.

As part of the farm-out agreement, Cairn committed to pay approximately US$26 million for the costs of the 3D seismic data acquired by Chariot on the block and other back costs incurred, which has now been received. Chariot now holds a 55% stake and operatorship in the block, Cairn holds a 35% equity interest and the Société Mauritanienne des Hydrocarbures (SMH) retains 10% as a carried interest.

Following interpretation of the final Pre-Stack Depth Migration (PSDM) volumes, due to be received in November 2013, a resource update will be published in Q1 2014. Drilling planning and the evaluation of partnering options will commence thereafter.
