Posted at 02/6/2009 21:39 by mr gary curtis Be very careful here, check that the assets can not be simply sold or transferred to any other holding group leaving you with x% of nothing in CET. I heard this mentioned once before on a similar low buy out share but I do not know the legalities. Once delisted I assume the majority holders can do just as they like.Take Meldex for example as proof you do not need a majority holding, shares are suspended so two guys (holders but by no means having a majority) walk in off the street and take over the running of the company after ousting the existing board. No AGM, no challenge, no voting, no real explanation of how it was done, but it proves it really does happen ! On face value the guys appear to be doing a good job, but the reality is that a once £200m plus rated company is now worth NIL unless these guys pull off a miracle. You guys have strong links to our old BOD so just make sure you do not need a Miracle also..... |
Posted at 18/5/2009 20:19 by storming norm To anyone interested a group of shareholders who collectively hold more than 10% of CET have banded together on the Interactive Investor website to ensure that the board do not get the 90% they require. If you wish to add your shareholding to their list they can be contacted at notgonnagetscrewedby |
Posted at 14/5/2009 21:05 by 2magpies If CET have acceptances for 75%, they need another 30million-odd shares to get to 90%That's an awful lot of shares yet to be sold, and a tall order, imo, given the very short time left. And it's anybody's guess what will happen. |
Posted at 12/5/2009 19:38 by induna123 Do you know if anyone has written to the takeover board? I think CET should have been under obligation to comment on the share price raising so high as 'the doctor' says, I believe it peaked at about 0.8p after the offer which is about 35 times the offer from Maymask. I would be very unhappy if I have bought in after the anouncement. |
Posted at 09/5/2009 08:59 by 2magpies I suggest we all e-mail the takeover panel, and ask them to (1)request info from CET re who is buying @ more than 8x the Maymask bid, and (2) remind CET that NO one connected with CET in ANY way is allowed to buy @ levels above the Maymask bid, i.e. 0.00023Market Surveillance Unit Telephone: 020 7638 0129 Fax: 020 7236 7013 E-mail: monitoring@disclosur |
Posted at 08/5/2009 21:20 by 2magpies Iduna123No one connected with anyone in CET is allowed to acquire shares @ a price greater than 0.00023 -- it's a breach of the City Takeover Code, and is illegal. There could be a hefty fine -- probably well more than the £50k It is a real puzzle as to who really is buying. |
Posted at 06/5/2009 20:51 by englishbeakfast I AM KEEPING MY JUST UNDER 500,000 SHARES. I HAVE NO INTENTION OF ASSISTING THE INDIVIDUALS IN QUESTION UNLESS THEY START TO ACT IN THE INTERESTS OF SHAREHOLDERS AND I HOPE OTHERS DO LIKEWISE.I have recouped the paper loss on CET several times over on other investments over the last few weeks and intend making another few grand this month on FML ! |
Posted at 07/4/2009 09:50 by 2magpies deka1yes, but those sells aren't going to CET. It looks like MMs are betting that the offer will not go unconditional. If they don't get the 90%, which seems likely, IMO. they may be forced to inject some big business (intended for 'maymask') into this, already listed, vehicle instead. I won't be surprised if CET (by whichever name they wish to change it to) rises 20 or even 100 fold from here. Yes, I know, that's a wild possibility. But it is NOT impossible. IMO, of course! |
Posted at 16/1/2009 07:45 by whites123 LOL at Dell boy....How you doing buddy????? I believe you still post on iii, seen your name a few times on bb's, but they introduced an ignore button, so i never get to see you... Dead right me old mucker, i picked some right old howlers, and it was looking like CET was one of them... BUT NOT NOW..... But hey.... This is about CET, not my howlers nor the ones that have returned massive increases for me which now allow me the lifestyle i enjoy.. Once again though, you cut and paste to suit your agenda... Which is what by the way? Do you think CET could be a good punt? or are you blinkered by your love for me that you can not see a decent investment when it stares you in the eyes?? I see you still selectively cut and paste... But whats the deal with the options that you and everyone else keeps harping on about??? because for the options to become worthwhile the share price of CET needs to surpass that.. Are you therefore suggesting that indeed CET will pass through 1p, and then pass through 2.5p and then pass through 5p.. If you are, then well done dellboy... You arent quite as thick as i had the suspicion you were.. With all your safe plays i am betting you have made a killing this year?? No..... O well, theres a shame... :-) The options subject to the 2.5p price threshold will be exercisable at any time from the first anniversary of grant to the tenth anniversary. The options subject to the 5p price threshold will be exercisable at any time from the second anniversary of grant to the tenth anniversary. Subject to Shareholders approving the Incentive Arrangements at the AGM it is intended to award options with an option exercise price of 1p per Ordinary Share (or as such higher amount as equals the market value of the shares at the date of grant) as follows: |
Posted at 16/1/2009 07:33 by dell314 FWIW, whites123 happens to be iii's multi-aliased pump'n'dump bullsh*tter, tiptornado, T_T, dstenson, Atrocity Exhibition, letsmakemoney and all his other user names. The same guy that reckoned he had a source that told him to get into SPIL. Unfortunately it dived 75% soon afterwards on a profit warning. Nice source! The same guy that always claims to be chatting to directors and have his finger on the pulse, yet has left a trail of minus 90%ers and busted companies in his wake. How many times did you chat to Jasper at OEP and tell us all it was THE share to buy, "mate"? I'll bet your pal, Jasper made sure all the decent bits of OEP ended up in his other companies, when it went bust.... And back to CET, isn't it odd how your earlier lengthy piece on here about CET mentioned 5p options, yet you forgot to mention the 2.5p options and the 1p options! Like these ones, for example: Subject to Shareholders approving the Incentive Arrangements at the AGM it is intended to award options with an option exercise price of 1p per Ordinary Share (or as such higher amount as equals the market value of the shares at the date of grant) as follows: Number of Ordinary Shares Mike Boseley 18,675,000 David Whitehead 12,450,000 Gerald Malone 6,225,000 Other employees 2,790,000 Total 40,140,000 Did you really forget, "mate", or deliberately not mention them? And let's not forget that CET's last results showed a loss, massive net liabilities, falling sales and declining margins. They also mentioned bank facilities which is always a worry..... And it's also worth noting that yesterday's RNS didn't say that CET had received an approach, it said that the company was in discussions. i.e. CET may well be unable to continue as a going concern, so may be approaching other parties looking for a buyer.... Maybe you'll be lucky here. Maybe you won't but stop trying to con everyone, eh? Rgds dell All IMHO, DYOR etc. |
