                     Non-Executive Directors' Shareholdings


On 21 September 2004, Celsis International plc ("Celsis") was notified that on
21 September 2004 Sir Christopher Evans, a non-executive director of Celsis,
purchased 1,384,491 ordinary shares in Celsis from Mr John Morris, also a
non-executive director of Celsis, at 31p per share.


Following the transaction, Sir Christopher Evans has a total holding of
7,979,741 shares, representing 7.12% of the issued share capital of Celsis, and
Mr John Morris has a total holding of 1,881,591 shares, representing 1.68% of
the issued share capital.
