Next investment into Weshop(10%) by its major shareholder has to be completed by the end of Feb. Brandshield could have a shareprice of 30p-40p if not higher at that point. Brandshield would have no problem raising capital to buy Weshop for c$22M at an elevated shareprice. They have paid down a convertible of around $1 million with the raise, but have net assets of $6.5 million of which around $5 million is cash. The right hand column is the one to look at. So with that kind of cash there will be no additional raise in the near future. The progression on ARR is good over the past three years from startup. These kind of businesses will not break even for a while yet. It may be that at the end of 2021 early 2022 they are back for more money. This is likely to be with a far higher ARR. If they continue the growth of the early years lets say that by then the ARR is in the range of $5 million then the valuation of this business could potentially be between 8 and 25 times that. The raise of cash against the background of an ARR as suggested would be easy at many times todays valuation. You cannot judge these type of businesses on cash generation as they are unlikely to generate cash in the early years. Equally they will not be profitable in this time either. They will need additional support and cash, albeit if the plan goes as indicated at a far higher valuation. . You will note in the prospectus that a considerable amount of the money raised will be spent on getting to market. I am invested here as I see the possibilities that Brandshield offers and the additional value in TSIs holding. | paddyfool | |
