So

Is the assumption by the market that Constallation taking control a good thing?

i.e. Buy at 34p and watch the share price go up as they take over and get rid of the said problem, then cash in.

Had Constellation been at 35p then I think we would all be on holiday .. have they been miserly again by just a few pence?

Moorsie2. Don't know where you get the "next 4 hours" from as there is a couple of days leeway usually.

However, you are correct that Constellation will not state - indeed are not allowed to - the level of acceptances between the start of the offer period and the final date for acceptance. It is also, unlikely, that Martin would have been obliged to instigate an RNS solely as a result of signing the Constellation acceptance form.

All-in-all, the holding has probably gone elsewhere. So an R NS should come out in the next couple of days, unless the holding was split between different new holders.

If it went to Constellation then we would not even have been notified I guess.

However if we do not get an RNS within the next 4 hours from the acquirer then it does look like it was Constellation.

You are probably correct graham but I'm not sure exactly how the process works, having never been involved with this before. We also do not know the price he sold at.

Bob. Doubt Martin sold direct to Constellation. The offer period is in process and he would have simply completed the acceptance procedure. Constellation are definitely not allowed to pay more than offer price in the market and don't think they are allowed to purchase in side deals once the offer is in process.

I make his holding to be in the region of 5%.

If they have been sold to anyone other than Constellation we are ok!, but if not we could be very close to a victory for the Canadian company.

The market still thinks another deal is on - well someone is buying them.

I can only imagine very small holders accepting the offer to save on dealing costs, I think they need another 10% because of the Director options so not quite as simple for Constellation as it looks.

Said has to come up with something very soon or else holders will be resigned to accepting 33p. But I do agree with DD that we should not make it easy for Constellation therefore do not accept their offer this time around.

It is not in shareholders interests to accept any offer just yet so certainly do not accept by the first deadline. It will still be there after that date and may be increased if there is a competing bid.

If Constellation do extend the offer let's hope Active Network make a decision soon after. Even if Active pull-out I would rather know sooner than later as this has dragged on long enough.

Gladstone has probably been in talks with potential bidders since about Oct/09, that's approaching half a year. Let's not forget all the time and effort spent at the end of 2008 defending off Constellation.

I was hoping an offer would come this week!

Bob - if they get over or below they will extend the offer anyway. I think they can do this 2 or 3 times.
Over 50% gives them control of the Board but they need 90% before it is compulsory.

I'm hoping we have news soon - well aren't we all!
