During the last 3 years, Boohoo's long suffering shareholders have seen the value of their investment collapse by over 88% not helped by the company’s struggling financial performance. A particular bugbear for most shareholders has been the overly generous Bonus schemes for its Senior Directors — John Lyttle, Mahmud Kamani and Carol Kane. The scale of that dissatisfaction emerged when Boohoo published the results of its A.G.M voting, which saw a sizeable protest vote against two of its resolutions. Despite the low turnout, more than 16% of shareholders voted against the proposed re-election of Non-Executive Director Iain McDonald. Meanwhile, nearly 15% of shareholders voted against the Directors’ Remuneration report. This follows widespread accusations of Boardroom Greed, which saw Boohoo PLC "forced" to withdraw its proposal for a new overly generous Long Term Incentive Plan for its Senior Executives. To add to Boohoo's woes, a multi-million pound group litigation claim has been filed against Boohoo PLC and its Directors, in which institutional shareholders are seeking huge compensation payments for losses suffered as a result of Boohoo’s alleged breaches of the Financial Services and Markets Act 2000. | factsandfigures | |

This is automatically deemed misconduct in office, and usually leads to a Director Disqualification order. Boohoo’s Directors are automatically viewed as “trustees and custodians” of all Boohoo shareholder funds and any misuse or misappropriation of these funds is regarded by the Courts as sufficient grounds for a Director’s Disqualification order. In the case of Boohoo Directors using the company bank account as their own private bank account, to finance an extravagant trip to Bodrum in Turkey - this could be deemed to be the misuse of shareholder funds.
