18/12/2018 13:15 | Officially MICT can do a reverse stock split to gain compliance again, SEC filing says this - " the Company chooses to implement a reverse stock split, it must complete the split no later than ten business days prior to the expiration date, June 10, 2019, in order to regain compliance" But route forward for MICT as with BNN is the merger deal into NewCo now so that will resolve this anyway. Its coming!! | perfect choice
18/12/2018 13:14 | Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing On December 12, 2018, MICT, Inc., or the Company, received a written notice from the Nasdaq Stock Market LLC, or Nasdaq, indicating that the Company was not in compliance with Nasdaq Listing Rule 5550(a)(2), as the Company’s closing bid price for its common stock was below $1.00 per share for the last 30 consecutive business days. Pursuant to Nasdaq Listing Rule 5810(c)(3)(A), the Company has been granted a 180-calendar day compliance period, or until June 10, 2019, to regain compliance with the minimum bid price requirement. During the compliance period, the Company’s common stock will continue to be listed and traded on the Nasdaq Stock Market. If the Company chooses to implement a reverse stock split, it must complete the split no later than ten business days prior to the expiration date, June 10, 2019, in order to regain compliance. To regain compliance, the closing bid price of the Company’s common stock must meet or exceed $1.00 per share for at least 10 consecutive business days during the 180-calendar day compliance period. If the Company is not in compliance by June 10, 2019, the Company may be afforded a second 180-calendar day compliance period. To qualify for this additional time, the Company will be required to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for Nasdaq with the exception of the minimum bid price requirement, and will need to provide written notice of its intention to cure the deficiency during the second compliance period, by effecting a reverse stock split, if necessary. If the Company does not regain compliance within the allotted compliance period(s), including any extensions that may be granted by Nasdaq, Nasdaq will provide notice that the Company’s common stock will be subject to delisting. The Company intends to monitor the closing bid price of its common stock between now and June 10, 2019 and will consider available options to resolve the Company’s noncompliance with the minimum bid price requirement as may be necessary. There can be no assurance that the Company will be able to regain compliance with the minimum bid price requirement or will otherwise be in compliance with other Nasdaq listing criteria. | mars00
18/12/2018 13:11 | User they can remain on NASDAQ for 180 days. Price has to go over 1 dollar to comply. | mars00
18/12/2018 13:09 | Apparently they have 180 days to get back into compliance and will remain listed during that period. Price has to remain over 1 dollar. | mars00
18/12/2018 13:07 | I see MICT is being delisted from NASDAQ for non compliance of the share price. | mars00
18/12/2018 12:39 | Muddy and others, You either wait and see what happens or alternatively set up an action group of shareholders and invoke the provisions under the Companies Acts for the protection of minority shareholders, which will be complicated and time-consuming. The was a capacity to register for information on the company website, though I believe that there has been negligible information coming forward apart from the RNSs. If there is to be a re-listing then the appropriate exchange will want to ensure that no inappropriate information is inappropriately publicly disseminated. Charles talks sense, but may know nothing. I certainly don't. | bscuit

18/12/2018 11:49 | WWW accurate as always .Just taken a look at the BNN website and saw the ironic heading of leadership & governance (don't laugh!). Looks to me like the individuals involved with this debacle are happy to just take salary and expenses whilst depleting the reserves until they have run out of road and it seems it is us mugs who are allowing them to do this. | muddy waters1
18/12/2018 11:43 | No can kicking ... It’s coming 💰💰 | charlesdarcy

18/12/2018 00:04 | Sandcrab/Charles: Mercer only buoyant and having a big Xmas pub lunch because he is going to do a runner from his pub early Jan and will leave suppliers high and dry is my bet. As for Bossno and Perfect Choice......only 4 days left until your ‘deal done by Xmas’ prediction evaporates. And as for Charles, well, what a Wally, can’t understand English and keeps repeating others predictions with gusto yet always has a caveat for a further date deadline. If it ain’t ‘by Xmas’ it’s ‘by end-Jan’. Let’s hope so for your sanity and locals hard earned cash. | wetwestwales
17/12/2018 22:18 | Charles, Exactly, so there's no need for anyone to worry, just wait for the good news to be released. The recent falls in the DOW and NASDAQ can't effect newco can it? | andy
