There is no way IM would do that. His personal holdings may be eligable for stock to stock merger, but family and friends' money would not be guaranteed to be eligible for a stock to stock merger and the family holdings is considerably more than IM personal holdings. |

concentrate The probem any acquirer has got is that they need to own a considerable majority of the shares. To acquire the remaining 10% compulsorily they must have not less than 90%. Them owning 60% means they have control but what they can do has legal restrictions. If the employees and management are left sitting on a pile of BIRD shares and if that is added to PIs shares brings the total to more than 10% it will negate the power to buy out a minority. |
