Director's Shareholding

Basepoint announces that today, B S Keys, a director of the Company, exercised
options over 45,000 ordinary shares of 10 pence each in the Company at an
exercise price of 50 pence per share. These options were granted in 1998 and
were the subject of performance conditions that were met during the financial
year to 28 February 2001.

Following the exercise of these options, Mr Keys's personal shareholding is
555,500 ordinary shares, which represents 4.95% of the Company's issued share
capital. In addition, Mr Keys is, together with R J Cleaver, a fellow director
of the Company, beneficially interested in the City of Birmingham Securities
Pension Scheme, which holds 43,250 ordinary shares, representing 0.39% of
Basepoint's issued share capital.

As a result of Mr Keys exercising these options and the Company issuing 45,000
new ordinary shares, the shareholding of ACG Rented Properties plc, which holds
3,0807,402 shares, has reduced from 34.09% to 33.95% of Basepoint's issued share
capital.

Application will be made for the 45,000 new ordinary shares to be admitted to
AIM, which is expected to occur on 7 December 2004.
