Admission of Consideration Shares

AVEVA announces that in connection with the completion of the acquisition of OSIsoft, LLC announced on Friday, 19 March 2021 ('Completion'), admission of 13,655,570 ordinary shares of 3 (5) /(9) pence each in the capital of the Company ('Ordinary Shares') to the premium listing segment of the Official List of the FCA and to trading on the London Stock Exchange's main market for listed securities occurred this morning at 8.00 a.m. (GMT).

In conformity with the FCA's Disclosure Guidance and Transparency Rules ('Rules'), AVEVA also notifies the market of the following:

As a result of Completion, the Company's share capital has increased to 301,152,120 Ordinary Shares with voting rights. None of the Ordinary Shares are held in treasury. Therefore, the total number of voting rights in the Company is now 301,152,120.

The above total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in the Company under the Rules.
