The CBCA contains the procedural requirements for going-private transactions and Canadian securities laws govern take-over bids. Under the CBCA, if a take-over bid is accepted by more than ninety per cent of the shares of any class of shares to which the take-over bid relates (within 120 days after the date of a take-over bid), other than shares held at the date of the take-over bid by or on behalf of the offeror or an affiliate, or associate of the offeror, the offeror is entitled to acquire the shares held by any dissenting offerees.

If the acquiring company elects to proceed by way of take-over bid but fails to acquire the requisite percentage of the shares to permit a force-out of the minority, the company may elect to squeeze out the minority through an amalgamation process.

At the moment they've looking at 85.8% prior to the offer.

Here’s your answer: “The Board is currently comprised of Messrs. Gűnal, Umurhan, Erye, Netherway, Martin and Owen. All of the Company’s current directors are considered “independent” (as that term is defined in NI 58-101), other than Mr. Umurhan and Mr Eyre as they are the Chief Executive Officer and Chief Financial Officer of the Company respectively.”

The only straw for minority shareholders to grasp would seem the independent valuation mentioned in the last RNS - unsure of how independence is defined there but presumably a third party. They might need a spare red pen for adjustments related to shootings, rioting, vandalism and floods.

I agree but what will they do then, drive it down further by releasing some other news about strikes etc and then off us 75p. Shame we don't have a big % institutional holder that wouldn't stand for this shabby treatment of shareholders

All too convenient - a stitch up to rob UK PIs & IIs

I am fortunate as only a small loss as didn't buy big & my average is 109 -but such nefarious conduct makes my blood boil. Worse than robbery - a stab in the back from the promoters!!!

Gold at multi-year highs and then one crisis after another -rain suspending production, new contractors now no production guidance etc etc

Buy when there’s blood on the streets, as the adage goes...

With the recent jump in gold prices and the string of expenses on efficiency-saving related party transactions implemented since the takeover, things could have been a lot rosier for minority shareholders, to put it mildly.

Looks like you fellows are being ripped off almost as badly as Afferro holders were. I say almost because I don't see any suggestion that the directors are to be paid more for their shares than private investors.

True, not one of my better investments, but was never significant in my folio.

These small miners do sometimes pay off, Brancote was a good one for me many years ago now. I guess I need to lose the rose tinted specs.

come on Steve for 7 year you have been saying this. now share has lost 99% of it value . it has dropped below penny in old money value . time to bite the bullet this is a goner.

As always with this lot the shares seem cheap if all goes to plan.

NPV10 at $1300 gold was 227M$ after paying off all debts.

We are now closer to $1500 gold and the Market cap is about $65M

I wasn't able to listen to the conference call, hope it goes up later as a replay.
