Proposed reconstruction and winding up of the Company

The Board of Rutland Trust PLC (the "Company") announces that in connection with
the proposed reconstruction and winding up of the Company as outlined in a
Circular dated 23 May 2007, the Company has applied for the Official List to be
amended to reflect the reclassification of the Company's Ordinary Shares as
Ordinary Shares with A Rights of 1 pence each and Ordinary Shares with B Rights
of 1 pence each.

The Company has requested that the amendment be effective as at 8:00 a.m. on 28
June 2007.  Suspension of dealings in the shares has already been requested for
2 July 2007.

Full details and the legal description of the reclassified securities for which
this request is being made are as follows:
