01/9/2016 15:27 | No....thats just a silly price. I estimate the current value as about 0.5 pence per share. Look at the amount of investment in the company (and I guess Atrum will buy the company in time)....millions. Add in record results and i am guessing these would be soaring if still listed on Aim. Somewhere like 0.8 would be my guess with the listing. Which does not mean we will get our money back etc. The decision to delist just as the company was turning the corner was not great for PI's but no-one cares about them of course.... Key Acquisition Terms The binding agreement for the Acquisition has been entered into with Stephen Best (the current CEO of ACG) and persons and entities connected with Stephen Best, including Mayford Equities Limited, Mary Best, Willoughby (4615) Limited, Lucy Best, Helen Frankland, Penn Carb Inc and Mount Charles (Mayfair) Limited (together, the Vendors). Subject to the satisfaction of various conditions to completion (set out below), Atrum will acquire a total of 1,042,017,264 ACG shares and 576,000,000 warrants that are convertible into a similar number of ACG shares. The exercise of the warrants would result in Atrum acquiring a total of 1,618,017,264 ACG shares (amounting to an interest of 26.68% of ACG's enlarged issued share capital). The consideration for the Acquisition will consist of the following cash and scrip components payable on completion of the Acquisition: a cash payment of US$3,000,000; a cash payment of approximately US$1,130,000 for outstanding warrants and as a negative control premium, the payment of which is conditional on Atrum acquiring a minimum of 25.01% of ACG on a fully diluted basis; and such number of Atrum shares that is equal to US$3,000,000 (Consideration Shares). | barnetpeter | |

15/8/2016 18:18 | Marmar80 ATC made this comment a the end of their press release announcing the purchase of Hazleton Shaft Corp: The Company delisted from the AIM market in January of this year in order to progress the HSC acquisition which would have been impossible under the AIM reverse takeover rules, however, with the successful HSC acquisition the Company is now looking to relist on the US market. 13/8/2016 14:09 | Thanks Victoria, Every little bit of news helps even if we have to rely a lot on ATU (ASX). If I was feeling a little more "charitable" to Barclays Stockbrokers I would say stick ATU in an International Trader Account but chances are Barclays or their agents SAXO will claim ATU is too small and enforce a sale of the shares. Been there and been caught! Just have to wait and see. Hopefully the ATU/ACG relationship will be successful and profitable and the new Group will re-list in London sometime. Regards | howesp | |
