Update on Mexico Energy Reform: Senate Approves Key Bills



Astar Minerals plc is pleased to note that, further to the Company's announcement on 16 July 2014, the Mexican Senate has now approved the key bills with regards to the legislation required to reopen Mexico's vast energy industry to the private sector.



The bills have now been passed to the Lower House of Congress for final approval which is expected by the beginning of August 2014, prior to being formalised into Mexican legislature by President Enrique Pena Nieto. Additionally, Lower House committees passed a hydrocarbons law on Monday that details the fine print of potentially profitable hydrocarbon licences and contracts that will, following the final Congress approval, be offered to private investors.



Astar's Chief Executive Officer Stefan Olivier said, "With the final approval of Mexico's energy reforms in sight following the passing of bills by the Senate, we are eager to hit the ground running in the coming months. With this in mind, we are in the process of finalising our joint venture with Geo Estratos, a local and longstanding oil services provider that is well placed to secure oil and gas concessions and contracts via formal bid rounds and through its existing commercial relationships. I look forward to updating the market on the finalisation of the legislation process in the coming weeks and, subsequently, our progress in unlocking the significant hydrocarbon potential Mexico has to offer."



Background Information on Mexican Energy Reforms



The secondary laws currently being considered by Congress follow the passing of energy reforms in December 2013 focused on reversing a decline in oil and gas production in Mexico over the past decade by ending state-owned Pemex's monopoly and, in the process, opening up the sector to foreign investment and expertise. The secondary legislation is required to provide the necessary framework and rules that will allow this reform to be implemented in practice.

So back to ASTA....traders moved out by now I hope havng made their turn.

When do we think ASTA will raise funds and at what price will be the placing...any thoughts?

Think it will be interesting to see what experienced non-Exec they appoint.....

ASTA has ZERO to so with PPA. PPA was dead - Cornhill have used the listing and shell. New Bod, new direction, new company full stop. I'm sorry that people lost a lot with PPA but it's nothing to do with ASTA. Move on with your life if you can.

soz for o/t. I can see the rationale for topslicing REM but getting out completely? If ASTA goes up 700% that'd make my holding in ASTA equal to REM. I might then radically topslice REM then.

JV Signed with Mexican Oil and Gas Operator

Astar Minerals plc is pleased to announce that it has signed a joint venture agreement ('the Agreement') with Nogal Holdings LLC ('Nogal'), an experienced operator of oil and gas properties in the US and Mexico, to jointly evaluate, acquire and develop oil and gas concessions in Mexico. This Agreement is in line with Astar's strategy to explore investment opportunities in Mexico's energy sector which is being reopened to the private sector to attract greater foreign investment and expertise with which to develop its substantial hydrocarbon reserves.
Under the terms of the Agreement, Astar will hold a 51% interest in any concession secured through the joint venture and will be responsible for raising capital to fund exploration and/or development. Nogal will be designated the operator of the relevant concession and will be assigned a 49% interest. Astar and Nogal each have the right to participate in any concessions in Mexico being acquired by either party. In addition Nogal has agreed to assist Astar in accessing relevant data and records relating to any concessions identified by either party including but not limited to oil and gas leases, farm-outs, drilling contracts, geological and geophysical data and well production data. All concessions jointly secured by Astar and Nogal will be held in a special purpose vehicle which will be incorporated in a suitable jurisdiction. A management committee, comprised of two representatives each from Astar and Nogal, will be set up to oversee the partnership.
Astar's Chief Executive Officer Stefan Olivier said "In Nogal, we have found a well-connected and experienced partner with whom Astar can participate in the reopening Mexican energy sector. The size of the opportunity is clear: Mexico is already a top ten global oil producer and has huge quantities of untapped conventional and unconventional reserves. To develop these vast reserves requires foreign capital and expertise. Together, Astar and Nogal are well-placed to deliver on both these counts with our proven ability to source and raise capital in the financial markets well-matched with the operational track record of Nogal's management team both in US onshore formations and Mexico itself. Further updates on the partnership's progress in securing opportunities in the Mexican energy sector will be provided to the market in due course."

Stefan Olivier is connected in a big way to North American Petroleum, as yopu know. Andrew Frangos and the afore mentioned, are well equpied to ADVISE LCG about how to (and assist with) Investment in the Oil buisness. Not sure what these guys know about Mexico though. Anyway, IF ASTA can pull in a lot of money from Investors and may PI's too, it may be more likely that ASTA will invest the money in NAP which is constantly on the 'UP'. If they are correctly advsied, what money they have could build up a stake in NAP which will increase their investment value/potential (and this shareprice) and make some good returns on their money. If it does, the possibilities of further investment in Mexico, IF, as and when, the returns are sufficient to draw from and place elesewhere for additional investment. They could have two very large Pies on the go on the proviso that the advice from the above is professional, which I think it will be. For my money, North American Petrolium MAY POSSIBLY be, and I say possibly be the first port of call for ASTA's money IF they can convince us by RNS, that this is likley to happen. The first mention in any such RNS that says North American Petroleum, fill your boots, maybe before This will be coupled with a notable rise in the share price Whilst I am guessing here, I think it is very possible that ASTA could be swayed be Stefan Olivier to buy a cut of that Pie. One needs to read very deeply into the background of these new Directors to see what they are about. Broking, Oil and advise. So, look out for investment in NAP. It may or may not happen, but gut feel says I may be on the right track. It is unlikley at this stage any new investor will lose a shed load of cash if buying in now, subject to normal Market Fluctuations. Keep a sharp eye on ASTA and any hints of OIL investment in NAP. This is medium to long term, but hints could be sooner.

Right then. A quick query about RTOs for the more experienced amongst you, as I have never been through one myself, and only observed a few 'from afar'...

*IF* we get an RTO, is this the likely sequence of events?

1. RTO announced, with a target company, say a gold explorer. Agreement to issue (say) 700M new shares in ASTA, to purchase the target company... the actual nominal issue price of the new ASTA shares is irrelevant.

2. ASTA suspended for say 2 months while the legalities go through.

3. ASTA suspension lifted. ASTA now has (in the scenario above) 1BN shares, but also has 'become' the target company.

4. The owner of the original target company now owns 700M / 1BN = 70% of the 'new ASTA', but will not be obliged to make an 'over 30%' bid for the whole of 'new ASTA' in this RTO scenario.

5. Immediately after the shares start trading again, Mr Market puts a value on the 'new ASTA' of (say) £5M, due to the assets of the original target company which are now owned by 'new ASTA'. In this case, the shares in 'new ASTA' will be worth £5M / 1BN = 0.5p.

6. The owners of the target company get a market listing for a minimal price... they don't own 100% of the target company any more, but they need 30% (or whatever) to be in free float to provide liquidity.

In step 5, if the assets of the target company were judged by Mr Market to be worth £10M, then the shares could/should come back to market at 1p... and potentially as the company grows/develops, a lot more in the longer term...

Is that correct?

If so, what is peoples' view as to the likely market valuation of some of the target companies that are being touted for an RTO?
