The way i see it MMs will be keen to hold on to a good many shares, in preparation for a possible share buy back of £50 Million. should keep the sahre price at the top end of current trading range and who know on a upbeat trading statement we can have a breakout

who says tender offer? perhaps they just buy in the market...

"Following discussions with the Company's advisers and
shareholders, the Board has reviewed alternative methods of payment
and believes that a share buy back will be the most effective means by
which to return capital.

The return of capital is subject to shareholder and other
approvals. A circular will be sent to shareholders as soon as
practicable, which will set out the details of the proposed share buy
back, convene an EGM to approve, inter alia, the reduction of the
share premium account, and authorise the creation of a new
distributable reserve."

A tender offer is a way of returning cash to shareholders but it does require you to sell a proportion of shares. The usual scenario would be to buy say 30% of shares you own at say %20 above market value. If you sold you could if you wish buy back at market value or you can just keep the capital gain

The share buy back IS giving the money to shareholders, they announce a tender offer for so many of our shares above the market price. No different than giving us cash but instead you pay capital gains on any gain rather than Income tax which would penalise those that bought at a higher price

RPT Intel's improved Q4 sales guidance reflects normal seasonality - CFO

SAN CLARA, CA (AFX) - Intel Corp raised its fourth quarter outlook based on
normal seasonality, driven by consumer demand and not business, said chief
financial officer Andy Bryant.
Speaking on Intel's mid-quarter update conference call, Bryant said "the
consumer has continued to buy, but there has been no major lift-off for
corporate buying."
"We are not seeing anything unusual any place, it is all just a little
better than what we had been expecting," he added.

Global chip equipment sales to rise 15 pct in 2003 - SEMI

SAN JOSE (AFX) - Global sales of semiconductor equipment will rise 15 pct
next year after a 32 pct slide in 2002, industry group Semiconductor Equipment
and Materials International (SEMI) said.
Sales are forecast to fall to 18.9 bln usd this year, improving to 21.8 bln
in 2003, according to SEMI's year-end survey of equipment manufacturers.
In 2004 growth is forecast at 21 pct with total sales at 26.4 bln usd, while
in 2005 annual growth will slow to 4 pct.

More than ARM were considered to have offered me thinks

Arc International has changed its mind about returning £50m to shareholders next year and will now spend the cash on share buybacks. Its shares added 3/4p to 26 1/2p.

Arc International in £50m share buyback but denies Arm talks

LONDON (ShareCast) - Arc International, the chip designer, will give back £50m to shareholders by June via a share buyback but denied it has held takeover talks with Arm Holdings.

The decision to return cash follows six months of investor unrest over the company's cash situation and poor share performance. The company is one of several small technology companies valued at less than their cash reserves.

Chief Executive Michael Gulett said even after paying abck the cash there were enough funds to see the business through to profitability. Arc said it was currently examining the "most effective method" of making the payout.

Gulett said he believed that ARC was fundamentally undervalued and that the return was likely to take the form of a share buyback.

As part of a review by investment bank WestLB, the company had considered seeking a buyer, but denied that it had help talks with ARM Holdings.

Financial performance for the year will fall within the current range of published analyst forecasts, he said.
