These are the conditions.Note they have not seen the audited financial statements yet and neither have shareholders. Not a stupid question. At the extraordinary general meeting of the Rockover shareholders on 15 May 2024, the Rockover shareholders approved the Merger, but the Merger remains conditional on (inter alia) the following matters:• approval of the Shareholders• Admission• Ariana receiving Rockover's audited consolidated financial statements for the financial year ended 31 December 2023• Rockover receiving Ariana's audited consolidated financial statements for the financial year ended 31 December 2023• completion of due diligence by both Ariana and Rockover• compliance with the AIM Rules and Takeover Code• delivery of signed agreements in relation to the lock-in arrangements from the larger Rockover Shareholders.

Doing research on Nick Graham on Internet. He’s British excellent reputation as geologist. Had £2m in reunion mining shares in 1999 when it was sold for 88 pence a share to Anglo American. He was pushed out of reunion just before takeover due to closing Zimbabwe down and concentrating on the asset Anglo American wanted , sure he was aware when he left. He then invested up to 29m shares in Stratex and sold out 2011-12 four years before they went bust. Does say on his instagram currently looking for a chairman role but don’t know how accurate that is. He’s always kept his shares in a trust same one quoted in rns. Get the impression quite savvy. Not sure how a bank can use shares in a trust as collateral tbh. But not totally conversant with trust law. Cant find anything on wife.

trevor ... takeover ... exactly my thoughts all set just before the real take off cca 2 years down the line i hinted at it in my previous posts - southampton uni afrika boys did it to me several times by now but one never nows. this time it will be different - hopefully
Thanks everyone who congratulated me on the being nearest to the 3p competition. I think at the beginning of the year when we made our estimates the share was just starting an upward trend and we all hoped it would continue faster than it did. But all us long time holders know Ariana doesn't work like that. I really enjoy this board although I am not a prolific poster. we discus this share in a civilised way, no petty one upmanship, long may it continue I appreciate the more experienced shareholders views and am gradually coming round to the takeover, but I am still not 100% committed

I don't like the dilution (especially at today's SP, albeit it could have been worse last month at 1.7p) and would have far preferred to see the acquisition done half in cash (from either reserves or borrowings especially since Tavsan will be throwing off cash shortly) and only half through newly issued equity. That would have ensured newly motivated board members and equity holders without the potential danger of a reverse takeover - it wouldn't cost the Rockover management a huge amount to buy 12.5% - 13% of AAU's equity and take effective control
Just as important as the takeover cost is how the mine will be funded. You big shareholders need to hold Kerims feet to the fire re dividends.
