hatfullofsky, assuming the deal goes through I'm thinking they'll be getting on for 400m shares in issue.

I'm kind of assuming that anyone participating in the fund raising at 26.8p (and in receipt of the warrants to subscribe to further shares at 26.8p) would be reckoning on APPS trading above 26.8p when trading is restored.

As I read it, the acquisition would be entirely funded by the issue of shares. I think the acquistion is a convenient cover for another tap for working cash (which I imagine they'd be needing even if the acquisition doesn't go ahead).

If trading is restored at, say, 27p, I think that would equate to a market cap of over £100m. If trading is restored at 17p, why would people be subscribing at 26.8p for the cash raise? Strange things happen on AIM though, and things are often not quite what they seem at first glance!

It will be interesting to see what lock-up agreement is in place with the Airpush owners, e.g. Asher Delug. Is this an exit for them?

Typo - Based on the value of APPS I make the combined entity £60m

Appscatter £15M - 25%
AirPush £45M - 75%

The fundraise is a significant premium to the closing price 26.8p v 17p but I guess that factors in the value of AirPush

It looks like their approach issue equity for the bulk and raise for the cash element.

If I recall correctly KWS did the same in the early days

Will be interesting in June that's for sure

Well we will have to see if they get the cash.
We will have to wait for June by the looks of it.
I'm pleased you are still noticing it anyway.

Now it is suspended I must admit it's been the strangest company I've been involved in.
Rather too many acquisitions or will it be the making of them?
I no longer know.

What's to be made of the potential reverse takeover of Airpush? It's a good excuse to raise another £2.2m-£4.4m of 'working capital'!

Dilution - Existing APPS holders will be left holding 25%.

Combined company worth over £100m?

Why 'of course'? Is it to do with "Any difference between the consideration transferred, which is the fair value of the shares deemed to have been issued by appScatter and the fair value of appScatter Limited's identifiable net assets represents service received by the accounting acquirer. This deemed cost on reverse takeover is expensed to profit or loss."?

Pre tax loss in H2 2017 was £4.04m, up from £2.31m in H1 2017. I don't think you can pin that increase on the acquisition of Priori Data.

Last half year report was September....appScatter Confident Going Forward As It Wins New Contracts...but loss widened through acquisition of course.
Perhaps contract news might be announced at some point.

'The Initial Consideration for the Acquisition is GBP1.245 million, comprising GBP500,000 in cash (the "Cash Consideration"), GBP245,000 in Director Loans and GBP500,000 by way of the issue of 1,666,666 new ordinary shares in the Company (the "Initial Consideration Shares") at an effective issue price of 30 pence per ordinary share ("Ordinary Shares"). The Cash Consideration will be satisfied from existing cash resources, of which GBP200,000 is payable immediately and the further GBP300,000 is payable within 150 days of the completion of the transaction.'

Hmm spreading themselves a bit thin I feel.

The fiscal year ends in December according to Morning Star.
They used to tell you when the next news was expected but no longer it seems.
We can only go on the last ones now I suppose.
