Notice of Third Annual General Meeting

This notification is made in accordance with DTR 6.1.5 of the Disclosure and Transparency Rules and generally in accordance with those rules.

In accordance with the Articles of Incorporation of the Company adopted by special resolution dated 21 May 2015, NOTICE IS HEREBY GIVEN that the third annual general meeting of the Company will be held at the offices of Aztec Group, East Wing, Trafalgar Court, Les Banques, St Peter Port, Guernsey, GY1 3PP on Tuesday, 1 May 2018 at 10:15 AM (UK Time) (the "AGM").

Shareholders who wish to attend the annual general meeting in person are invited to inform the Investor Relations team and Company Secretary (please see contact details below).

A letter from the chairman of the Company, the notice, agenda and form of proxy for the AGM, together in an "AGM Circular" has been mailed to shareholders and is available on the Company's website at https://www.apaxglobalalpha.com/investors/results-reports-presentations/.

Discontinuation Vote - Please Read

The Company has no fixed life, but, pursuant to Article 49 of the Articles, an extraordinary Shareholder resolution (requiring 66 2/3 per cent. of votes cast in person or by proxy to be in favour) on whether to require the Directors to put forward proposals to wind up, liquidate, reconstruct or unitise the Company (the "Discontinuation Resolution") will be proposed by the Board at the annual general meeting of the Company to be held in 2018 and, if not passed, every three years thereafter.

The directors RECOMMEND that shareholders vote AGAINST this resolution. Vote FOR this resolution if you wish for the Company to be discontinued. VOTE AGAINST this resolution if you wish for the Company to remain a going concern.
