Return of Cash: Initial Purchase Offer and Cancellation of B Shares

The terms of the Return of Cash approved by Shareholders on 24 April 2014 enabled Shareholders to sell some or all of their B Shares at 75 pence per B Share, free of all dealing expenses and commissions, through the Initial Purchase Offer made by Aggreko plc ("Aggreko"). Elections to accept the Initial Purchase Offer were received in respect of 78,845,471 B Shares, representing approximately 29.30 per cent. of the B Shares. These B Shares have been purchased by Aggreko from the Shareholders for an amount equal to 75 pence per B Share. These B Shares have today been cancelled by Aggreko.

Following the cancellation of these B Shares, Aggreko has 1,989,357 B Shares remaining in issue, representing approximately 0.74 per cent. of the B Shares arising pursuant to the Return of Cash.

Terms defined in the Circular to Shareholders dated 14 March 2014 have the same meaning when used in this announcement.
