"Celaton Limited, authors of inSTREAM, the leading intelligent document processing platform, has been acquired By AdvancedAdvT Ltd ("ADVT"), the London Stock Exchange listed company.

ADVT is led by tech entrepreneur, Vin Murria, one of Celaton's most supportive investors since June 2021. This means Celaton, along with four other companies acquired by ADVT recently (July 2023), becomes part of a larger group.

All Celaton colleagues will remain in their roles when the company transfers to the new owners on completion.

Jim Chase, Celaton's Executive Chairman said, "Celaton naturally aligns with ADVT’s focus of empowering customers by streamlining complexities, automating repetitive tasks, and ultimately enhancing productivity, compliance, and engagement. The transaction is a great opportunity for our customers and our team alike. We will have access to more investment as well as a larger pool of digital transformation expertise across the wider group."

The enlarged group will consist of five companies: IBSS, CHKS, Retain, WFM and Celaton."

"Vin Murria, a Director and substantial shareholder of AdvT, and BGF Investment Management, a substantial shareholder of AdvT, each own approximately 45% of Celaton." So this is an existing private investment, already 90% owned by AdvT shareholders, being brought 'into the group'.

Worth remembering that there is a large safety buffer here.

Firstly, the company has over £100 million in cash and assets.

Secondly, Vin Murria has invested £17.5 million of her own money in here. Where else do you see a director with such a level of commitment? She is hugely aligned with shareholders and with so much skin in the game will always consider the share price in any decision made.

And thirdly, Vin Murria has a stellar history behind her with a long track record of generating huge shareholder value. She continues to do what she has been doing over the past 30+ years with the same team behind her.

There is a great future for long term shareholders of ADVT over the coming years imo.

AdvancedAdvT Limited (AIM: ADVT, "AdvT"), the international software solutions provider for the business solutions, healthcare compliance, and human capital management sectors, will publish its results for the six months to 31 December 2023 on Thursday 28 March 2024.

The share price is quiet for now and holding firm, but there are plenty possible future catalysts which might drive it higher.

Further acquisitions are highly likely. VM is well known for these and her prior successes with Kewill, CSG and ASW were in part down to a focussed acquisition strategy. According to the trading update on Jan 8th:

“M&A is a core part of AdvT's strategy and there has been a notable increase in inbound opportunities. The Board will continue to evaluate these against its acquisition criteria.”

so it’s only a matter of time before a further acquisition is announced imo.

The existing businesses are bedding in as planned:

“AdvT's performance for the six months ended 31 December 2023 aligned with the Board's expectations.”

but VM will be looking to improve performance in each of them:

“Avenues for deploying financial and operational resources and investments to enhance the organic growth of AdvT have been identified.”

so there is scope here for future news releases pertaining to improved performance.

Lastly, the shares are very much under the radar at the moment. Increased coverage will come in time I’m sure as investors pick up on the growth and acquisition story. However there is also the possibility that a well-known tipster / tipsheet will cover ADVT. The editor of SCSW for example states that he “has known Vin Murria for many years”, and the tipsheet covered CSG and ASW historically fairly frequently.



The share price is still only just above where VM bought in 3 years ago, so it continues to present a great long term buying opportunity imo. I have confidence that in the months and years ahead that ADVT will be a different beast entirely with a much larger market cap and share price. Watch this space!

The cash is certainly going to be a drag on the share price in the short term but at least now Advt have a base of businesses onto which to build. With further acquistions the share price should hopefully start to motor...

Yes, it will be interesting to see at what price ADVT opens. As at 30 June NAV/share was 92.5p. Since then the share price of SAA has weakened further by 14.5% to 130p, but that only reduces ADVT NAV to 90.5p. Worth remembering that when it initially listed ADVT traded at a premium to NAV. It was the bid for SAA and then apparent lack of progress in moving forward with an alternative which took the share price down to current levels.

The acquisition of the software businesses only uses less than a third of Advt's cash so I imagine, considering how long it took to get to this point, that Murray has a pretty clear idea of how to deploy the rest in building around these businesses.

Formal offer for SAA. Advt claim to have support of 42.5% of shareholders. You would think that would be enough although SAA share price hasn't really reacted. Based on current Advt share price of 82.5p, values offer at 209p. SAA share price currently 170p.

It’s hard to see a good outcome from the current situation. If somehow a deal is done it will be because SAA have negotiated a better deal so most likely the ADVT share price will fall further. If no deal it is likely to be some time before ADVT put together something else and share price likely to drift. The only good outcome would be a third party offer for SAA but that would surely have happened by now.

So I guess I will probably do as Skyship has and sell out at a loss. Very disappointing that the company has communicated so little information over such a long period even taking into account the obvious constraints of the proposed SAA deal. I wonder what reason Vin Murria would put forward now to trust her. Time to Bin Murria !

Interesting that the SAA share price seems to have settled at around 1.82p. Using an ADVT share price of 98p, a 1.86 for 1 offer would value SAA at..... 1.82p. Doesn't seem much confidence in the market that Advt is going to up it's offer
