                                 Result of EGM


At the Extraordinary General Meeting of the Company held earlier this morning,
the Special Resolution was passed by shareholders.


Accordingly, the Directors have implemented the capital reorganisation so that
each ordinary share of 1p has now been divided into one new ordinary share of
0.1p and one deferred share of 0.9p.  Each shareholder's pro rata holding of
ordinary shares is not affected by the capital reorganisation.  In addition, the
Company has allotted 68,917,361 new ordinary shares of 0.1p each to Milebeach
Limited, a company controlled by Stephen Barclay and John Shaw, Directors.  The
loan by Milebeach Limited of #75,000 to the Company has been applied against the
subscription price for the new ordinary shares.  On the basis of 230,492,847
ordinary shares now in issue, Milebeach Limited's holding of 68,917,361 ordinary
shares represents 29.9% of the issued share capital.


Application has been made for the whole of the issued ordinary share capital
comprising 230,492,847 ordinary shares of 0.1p each to be admitted to trading on
AIM and dealings are expected to commence on Thursday 24 March 2005.
