                               Results of the AGM

At the Annual General Meeting of the Company held earlier today, all resolutions
were duly passed.  In addition, the Directors considered the matter of the
Company's net assets being less than one half of the called-up share capital.
They decided to take no action at this stage as the costs associated with any
capital reorganisation were, in their view, not justified at the present time.

The Chairman informed the meeting that, as a result of the closure of the two
operating subsidiary companies on 4 July 2002, the Inland Revenue had withdrawn
the Company's status as a qualifying company for EIS relief.

The Chairman also noted that the Directors were continuing to review potential
acquisition opportunities for AVC.
