Recommended Offers ("the Offers")

for

ACTIVE IMAGING plc ("Active Imaging")

Offers declared Unconditional as to Acceptances

As at 3.00 p.m. yesterday, Monday 15th December 1997,
the first closing date of the Offers, acceptances
under the Offers had been received as follows:

Active Imaging     36,649,191 ordinary shares,
Ordinary Share     representing 88.90% of the issued
Offer              ordinary share capital of Active
                   Imaging
                   
                   (of which 10,723,062 ordinary
                   shares were in respect of persons
                   who had signed irrevocable
                   undertakings to accept the Active
                   Imaging Ordinary Share Offer and
                   12,500 Ordinary Shares were in
                   respect of parties deemed to be
                   acting in concert with Active
                   Imaging)
                   
Active Imaging     166,660 'A' preference shares,
'A' Preference     representing 50% of the issued
Share Offer        'A' preference share capital of
                   Active Imaging
                   
                   (all of which were in respect of
                   persons who had signed
                   irrevocable undertakings to
                   accept the Active Imaging 'A'
                   Preference Share Offer)
                   
Active Imaging     1,026,667 'B' preference shares,
'B' Preference     representing 97.78% of the issued
Share Offer        'B' preference share capital of
                   Active Imaging
                   
                   (of which 46,667 'B' preference
                   shares were in respect of persons
                   who had signed irrevocable
                   undertakings to accept the Active
                   Imaging 'B' Preference Share
                   Offer)
                   
The offer period for the Offers commenced on 24th
November 1997.  Save for 9,000 Active Imaging
Ordinary Shares held by Greig Middleton & Co. Limited
on behalf of discretionary clients, neither
Silvermines nor any parties deemed to be acting in
concert with it held any Active Imaging shares prior
to the offer period.  During the offer period, Greig
Middleton & Co. Limited acquired 3,500 Active Imaging
Ordinary Shares on behalf of discretionary clients of
it.  Save as aforesaid, neither Silvermines nor any
party deemed to be acting in concert with it has
acquired or agreed to acquire any shares in Active
Imaging since the commencement of the offer period
for Active Imaging.

The Offers have been declared unconditional as to
acceptances.  The Offers have been extended until
3.00 p.m. on Wednesday 14 January 1998.
