The currene bid would be equal to a UK old price of .87p - my buying price inclusive was 0.78p - so profits of at least 11% on paper

My broker confirmed last week that there would be no problem retaining these shares in an ISA so perhaps it is down to individual brokers as to whether they can or want to handle these stocks.

Can someone tell me what they are being traded at on the NASDAQ , I thought it was to be TLWT

Hi Folks,

I have just been told by COMDIRECT that these stocks cannot be settled using crest and as a result cannot be held in an ISA.

Telewest has awarded chairman Cob Stenham a £3.4m pay deal and more than 1m share options just as the cable company completes the restructuring that almost wipes out former shareholders, reports the Telegraph.

NTL set to sell £1bn broadcast arm
BY Andrew Murray-Watson (Filed: 18/07/2004) Telegraph

NTL, the telecoms and cable TV group, is set to put its broadcast business up for sale within the next few months with a price tag of about £1bn.

NTL, which tried to sell the broadcast business two years ago while it was in the middle of a radical financial restructuring, has decided that the division is no longer a core interest.

The broadcast business, which consists of nearly 2,000 TV and mobile phone masts, is not officially up for sale. But NTL's management is understood to have been approached by a number of private equity companies about a possible sale. Potential buyers are thought to include Apax, Texas Pacific and Permira.

In 2003 the NTL division recorded earnings of £115.2m on turnover of £268.6m.

Last month US-owned Crown Castle sold its UK mast business to National Grid Transco for £1.1bn. In 2003 the business recorded earnings before interest, tax, depreciation and amortisation of £101m on sales of £233m.

However, analysts believe NGT overpaid for the company, despite forecasts that mast businesses will enjoy strong growth as demand for mobile services continues to rise.

Earlier this year Simon Duffy, the chief executive of NTL, told analysts that the broadcast business would become a separate legal entity. This would make it easier for the business to be sold off.

Although the division is one of the most profitable parts of NTL's operations, it only accounts for 11 per cent of earnings - down from 15 per cent in 2001. Executives close to NTL say a sale is "not imminent".

Meanwhile Telewest, which many analysts expect to merge with NTL within the next year, will emerge from its financial restructuring tomorrow when its shares begin trading on Nasdaq in New York.

Bondholders will be given 98.5 per cent of shares in the new company, while existing shareholders will own the remaining 1.5 per cent.

A merger of Telewest and NTL would create a cable company with nearly 5m UK residential and business customers.

Cable giants urged to seal $7bn merger

Richard Wachman, City editor
Sunday July 18, 2004
The Observer

NTL and Telewest, Britain's two cable television giants, are being urged by shareholders to kick off merger negotiations this autumn to form a company with a market value of $7 billion. If the companies succumb to this pressure, the long-awaited tie-up between Britain's two largest cable groups could begin at least six months ahead of stock-market expectations.

The combined group would have more than 1.5 million customers and would throw down the gauntlet to BSkyB, the BBC and ITV in the battle for pay-TV viewers. The merged company, to be headed by NTL boss Simon Duffy, would also compete more effectively with BT for telephone and broadband subscribers.

A leading shareholder said: 'It makes sense for the two companies to merge as soon as possible, because together they will be able to launch a formidable marketing campaign - and a more lavish one, after they have realised cost savings.'

An industry source added: 'What has changed here is that both companies have now completed financial overhauls after nearly going to the wall in 2002. And the shareholders on both company's registers are largely the same. Everyone is pulling in the same direction - so a merger will be relatively easy to pull off.'

Another factor that would make a marriage simpler is that there are no disagreements about the relative valuations of each company. Telewest's value is broadly half that ascribed to NTL.

Telewest completed its financial restructuring on Friday and re-lists on New York's Nasdaq technology market tomorrow. Previously it was quoted in London. NTL, which has always been quoted on Nasdaq, came out of Chapter 11 protection last year and its shares have soared to around $55. Both cable operators have seen their bondholders - who shouldered billions of pounds of borrowings - swap their debt for equity in the newly refinanced companies.

Fidelity, Franklin Resources and Huff Asset Management have significant shareholdings in both firms. John Malone's Liberty Media has an 8 per cent stake in NTL.

The cable market in Britain has long suffered from fragmentation, poor marketing and weak management. A combined NTL and Telewest network would reach most UK homes.
