Section 1 – Registrant’s Business and Operations

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 1, 2024, the Compensation Committee of Tecogen Inc. (the “Company”) adopted a performance bonus plan for the CEO and certain senior management of the Company consisting of a one-time payment contingent on the Company achieving two consecutive quarters of positive Adjusted EBITDA exceeding 2% after all bonus accruals. The amounts of the bonuses would be $50,000 for the Company’s CEO, and $35,000 for each of the Company’s Chief Operating Officer, Chief Accounting Officer, Vice President of Operations, and General Counsel.
