Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 22, 2023, Americo Cicchetti resigned from Kiromic BioPharma, Inc.’s Board of Directors.  Mr. Cicchetti accepted an appointment with the Italian Ministry of Health and is required to resign his existing directorships to avoid any potential conflicts.
